<div class="ace-line ace-line old-record-id-doxlgAqDtTET7TuPTXV02Vha5Lf">Our Seychelles business has operated since 2017 and now sits within the licensing regime established by the Virtual Asset Service Providers Act of Seychelles 2024 (the VASP Act). We are seeking an Independent Non-Executive Director, resident in Seychelles, to join the board of our Seychelles entity to supplement its board of governance with an independent resident non-executive director.</div>

<div class="ace-line ace-line old-record-id-doxlgPATDTgepvmmTjUjXpIKHXf">As an Independent Non-Executive Director and Resident Director of our Seychelles entity, you will bring independent challenge to strategy, risk and conduct, hold management to account on behalf of shareholders and stakeholders, and provide the resident board presence that the licence and the entity's governance arrangements require. The role exists to do three things at once: provide independent challenge; satisfy the Seychelles Financial Services Authority (the FSA) that the board of the Company meets its expectations on composition, competence and fitness and propriety under the VASP Act; and provide local substance in Seychelles.</div>
<div class="ace-line ace-line old-record-id-doxlgbUmQmXJWpF0O11JHcEy5Pe">The entity operates within the group's global governance, risk and compliance framework while remaining separately accountable to its own board and to its regulator. The Board comprises a mix of executive and independent non-executive directors. This is a genuinely resident role. The appointee must be physically present in Seychelles, attend board and management meetings in person, and be available to engage with the FSA and the entity's advisers in Seychelles.</div>
