Job title: Company Secreta r ial Assistant , PLC, GB & Ireland

Purpose of the role: Company secretarial and governance support to Diageo plc and its UK and Irish subsidiaries
Key Accountabilities:
- Provide d ay-to-day company secretarial and governance services to the group’s UK and Irish subsidiary companies, including in supporting with regard to PLC matters
- Managing subsidiary board meeting proces s from end-to-end, including scheduling meetings, coordinating board pre-read , attending and minuting meetings, drawing up action plans
- Monitoring and dealing with signing requests , including arranging for hard and soft copy signings, coordinating with notaries, maintaining records of signings , managing physical mail and post , and assisting with treasury and KYC requests
- Maintaining public registry filings, including CRO / Companies House r equirements, data protection registrations and RBO compliance, as well as maintaining internal records (e.g. GMD, Blueprint / statutory records)
- Providing assistance as required with corporate projects (e.g. reductions of capital, liquidations , disposals and acquisitions), financial statement approvals and year end processes
- Ensure delivery of cost-effective delivery of services in context of business objectives and current risk environment; liaising with outsourced registrar and other exte rnal advisors listing in a proactive and collaborative manner; seek ing to eliminate unnecessary costs by optimising use of technology, artificial intelligence, internal and external resources
- S upporting compliance with PLC’s UK and US regulatory obligations, including routine filings and registrations (e.g., Companies House, FCA, SEC and ICO), announcements (e.g., TVR, PDMR dealing, Form 6-K), closed period / insider lists, and other obligations (e.g., MAR, DTRs, FPI obligations)
Key Competenices:
- Governance Experience: I n-house experience in governance role. Good understanding of practical application of corporate governance frameworks, and working experience of secretarial task s, entity management and compliance with applicable law and regulations .
- Professional and Interpersonal Skills: Strong technical and analytical, drafting and negotiating skills, good pragmatic approach; Strong collaborative and team player skills, practical risk management, proven ability to work with cross-functional teams , develop and maintain good process and to prioritise workload ; Excellent interpersonal / communication skills.
- Management Capabilities: Excellent professionalism, commitment and integrity; Passion for and experience of inspiring and leading people; Confident in and sensitive to different styles
Qualifications/Experience
D egree level or higher qualification , and preferably either fully or partially qualified governance professional , chartered secretary or lawyer in relevant jurisdiction . In-house experience in governance role.
