About this role

Jordan Kuwait Bank is seeking a qualified and detail-oriented professional to join its team as a Governance Officer – Subsidiaries .

The role will support the effective governance and oversight of the Bank’s subsidiaries, ensuring alignment with the Group’s governance framework, applicable local and international regulatory requirements, and internal policies. The successful candidate will contribute to strengthening governance practices across the Group, facilitating effective coordination with subsidiaries operating across different jurisdictions, and supporting consistent, transparent, and effective governance and reporting practices.

Key Responsibilities:

- Support the implementation and continuous enhancement of the governance framework applicable to the Bank’s subsidiaries.

- Monitor subsidiaries’ adherence to approved governance policies, frameworks, delegated authorities, and applicable regulatory requirements.

- Coordinate governance-related matters between the Bank and its subsidiaries, ensuring timely communication, documentation, escalation, and follow-up.

- Maintain accurate and up-to-date governance records, including Board and committee composition, mandates, delegated authorities, policies, and key corporate documents.

- Monitor governance-related actions and recommendations and coordinate with relevant stakeholders to ensure timely implementation and closure.

- Review subsidiaries’ governance policies, frameworks, and practices to ensure alignment with Group-level governance standards and applicable regulatory expectations.

- Prepare periodic governance reports, dashboards, and management updates covering subsidiaries’ governance status, key developments, identified gaps, and areas requiring management attention.

- Conduct and support governance assessments to identify opportunities for strengthening governance practices, accountability, oversight, and decision-making across subsidiaries.

- Coordinate with Legal, Compliance, Risk, Finance, Internal Audit, and other relevant functions on matters related to subsidiary governance.

- Monitor and assess corporate governance requirements and regulatory developments across European jurisdictions relevant to the Bank’s subsidiaries and support the alignment of subsidiary governance practices with applicable European governance and regulatory standards.

Qualifications & Experience:

- Bachelor’s degree in business administration, Finance, Banking, Law, Accounting, or a related field.

- Relevant experience in Corporate Governance, Subsidiary Governance, Compliance, Legal, Risk Management, or a related function, preferably within the banking or financial services sector.

- Practical experience or strong exposure to corporate governance frameworks and regulatory requirements within European jurisdictions is highly preferred.

- Experience working within a Group structure or supporting subsidiaries across multiple jurisdictions would be an advantage.

- Strong understanding of corporate governance principles, Board and committee governance, policies, delegated authorities, and regulatory requirements.

- Strong analytical, reporting, documentation, and follow-up capabilities.

- Excellent communication and stakeholder management skills, with the ability to coordinate effectively across different functions, legal entities, and jurisdictions.

- Strong attention to detail, organizational skills, and the ability to manage multiple governance requirements and deadlines.

- High level of professionalism, integrity, confidentiality, and accountability.
