The Ontario Securities Commission (OSC) is the statutory body responsible for regulating Ontario’s capital markets in accordance with the mandate established in the provincial Securities Act and the Commodity Futures Act. The mandate of the OSC is to provide protection to investors from unfair, improper or fraudulent practices, to foster fair, efficient and competitive capital markets and confidence in the capital markets, to foster capital formation, and to contribute to the stability of the financial system and the reduction of systemic risk. This mandate is performed through policy, operational, and enforcement activities. The OSC also contributes to national and global securities regulation development.

The Enforcement Division of the Ontario Securities Commission delivers fair, vigorous, and timely enforcement responses to capital markets misconduct. The Enforcement Division investigates and prosecutes breaches of securities laws in Ontario. Team members work closely with other securities regulators, self-regulatory organizations and law-enforcement agencies to enhance initiatives to fight misconduct. A strong visible enforcement presence assists in protecting investors from unfair, improper or fraudulent practices, fosters fair, efficient and competitive capital markets, fosters capital formation, and contributes to the stability of the financial system and the reduction of systemic risk.
The Criminal Investigations and Prosecutions team is recruiting for a Senior Law Clerk.

What will you do?
The Senior Law Clerk provides senior-level law clerk support to investigators, litigation counsel and prosecutors on complex investigations and proceedings. The Senior Law Clerk also takes on leadership responsibilities within the law clerk group, identifies and establishes best practices, coaches and trains colleagues, and assists with onboarding.
· Provide law clerk support throughout complex investigations and proceedings involving alleged breaches of Ontario securities law and related criminal offences.
· Research, locate, retrieve, review and organize civil and criminal files, records, evidence and other materials, identifying key documents and potential privilege or confidentiality issues for review by investigators and counsel.
· Assemble documentary evidence from multiple sources, including interview transcripts, and prepare control indexes, evidence summaries, chronologies, schedules and draft or revised documents.
· Assist with the preparation of search warrants, Informations to Obtain, production orders, affidavits, orders and directions, and maintain files and track summonses, orders and responses.
· Work with investigation teams to prepare, review and submit requests for assistance to other securities regulators in Canada and internationally.
· Prepare and manage documentary briefs for disclosure and use in evidence, including organizing electronic disclosure, preparing indexes, arranging affidavits of service, eliminating duplicates and completing required redactions.
· Support litigation counsel and prosecutors with motions, hearings, trials, sentencing proceedings, appeals and post-hearing or post-trial work, including preparing, serving and filing court and tribunal materials.
· Review transcripts and witness summaries, identify discrepancies, update charts and schedules, prepare hearing and trial materials, and ensure evidence and exhibits are assembled, available and maintained.
· Attend hearings and trials to manage exhibits, hearing databases and proceeding logs, and testify when required.
· Liaise with witnesses, opposing counsel, court and tribunal staff, court reporters, regulators and law enforcement partners, and support scheduling and information exchange.
· Manage file-closing activities to ensure files are indexed, organized and stored in accordance with Enforcement Division requirements.
· Lead and support the law clerk group by identifying opportunities to improve practices, convening meetings, sharing developments, coaching and mentoring colleagues, and assisting with the onboarding and training of litigation counsel, prosecutors, law clerks and articling students.
What do you need to be successful in this role?
· Completion of a two-year Law Clerk program at a community college.
· Membership in good standing with the Institute of Law Clerks of Ontario, or eligibility for ordinary membership.
· At least 10 years of experience with a law office, government agency or other organization performing administrative or managerial law clerk functions under the guidance of a lawyer, or an equivalent combination of education and experience.
· Experience supporting complex investigations, regulatory proceedings, criminal or provincial offences prosecutions, appeals, judicial review applications or other court proceedings.
· Knowledge of standard eDiscovery software and experience organizing electronic evidence, disclosure and hearing or trial materials.
· Knowledge of the Securities Act (Ontario), the Commodity Futures Act (Ontario), the Criminal Code and related legislation, together with knowledge of the securities regulatory environment preferred.
· General knowledge of the Canadian Charter of Rights and Freedoms, access-to-information and privacy legislation, the Provincial Offences Act, federal and Ontario business corporations legislation, bankruptcy and insolvency legislation, evidence legislation, and the Statutory Powers Procedure Act preferred.
· Strong analytical and problem-solving skills, sound judgment, and a high level of accuracy and attention to detail.
· Excellent organizational, tracking, prioritization and workload-management skills, with the ability to meet strict deadlines while managing multiple files and responsibilities.
· Well-developed proofreading, legal drafting, writing and administrative skills.
· A proactive and self-motivated approach to workload management and professional development.
· Demonstrated ability to lead, coach and guide less-experienced staff by providing regular, clear direction and constructive feedback.
· Excellent interpersonal and team-based skills, with the ability to collaborate, coach, mentor and demonstrate a service-excellence mindset within a professionally diverse team.
