What is the Opportunity?

Aecon Group Inc. is a leading construction and infrastructure development company with operations across North America. Our teams deliver some of the largest and most complex infrastructure projects in transportation, utilities, energy, industrial, and civil construction. The Paralegal, U.S Corporate Legal will support Aecon's cross border Legal Department by assisting with corporate governance, entity management, contractor licensing, state registrations, and general legal operations for Aecon's U.S. and international subsidiaries and joint ventures. This position provides an excellent opportunity for a motivated paralegal to gain hands-on experience supporting a large, multi-state corporate organization.

The Paralegal, U.S Corporate Legal will report to the Senior Counsel, U.S. Corporate Legal. This role will be based out of Aecon's Mount Laurel, NJ office and will function on a hybrid basis.

What You'll Do Here:

Corporate Entity Management

- Assist with formation, qualification, maintenance, and dissolution of corporations, limited liability companies, and other business entities across multiple U.S. jurisdictions.

- Prepare and file certificates of formation, articles of incorporation, amendments, mergers, conversions, withdrawals, dissolutions, and annual reports.

- Coordinate Secretary of State filings and obtain certificates of good standing and certified corporate documents.

- Maintain domestic and foreign entity qualifications and track registration deadlines.

- Support annual report filings and good-standing maintenance for U.S. entities

Corporate Governance

- Assist with preparation of board, shareholder, member, and manager resolutions and written consents.

- Maintain corporate minute books and electronic corporate records.

- Update and maintain officer, director, manager, member, and shareholder information.

- Track annual corporate compliance requirements and filing deadlines.

- Help ensure corporate records, Secretary of State records, and internal entity databases remain consistent.

Licensing and Regulatory Compliance

- Assist with obtaining and maintaining contractor licenses and related registrations across the United States.

- Coordinate with internal business teams and external licensing agencies regarding licensing requirements and renewals.

- Maintain licensing databases and compliance calendars.

- Support legal and operational teams with permit and registration requests.

Transactional and Legal Support

- Assist in preparing corporate documents for mergers, acquisitions, reorganizations, and other corporate transactions.

- Organize transaction documents, virtual data rooms, and closing deliverables.

- Assist with due diligence requests and document collection.

- Prepare signature packages and closing binders.

- Support post-closing entity and corporate record updates, including Secretary of State and internal database updates.

Commercial Contract Support

- Review routine contracts and agreements using established procedures and checklists.

- Prepare contract summaries and track key contractual obligations.

- Assist with template management and document standardization efforts.

- Support attorneys with contract administration and recordkeeping.

General Legal Operations

- Maintain legal databases, matter files, and corporate records management systems.

- Coordinate with outside counsel, registered agents, government agencies, and internal business teams.

- Conduct basic corporate and regulatory research.

- Support special projects and process improvement initiatives within the Legal Department.

- Occasional travel to Aecon's U.S and Canadian offices.

What You Bring to the Team:

- Associate's degree, bachelor’s degree, or Paralegal Certificate from an accredited institution.

- 0-4 years of paralegal experience in a law firm or in-house legal department.

- Strong proficiency with Microsoft Office Suite, including Word, Excel, Outlook, and Adobe Acrobat.

- Excellent organizational skills and attention to detail.

- Strong verbal and written communication skills.

- Team player attitude.

- Ability to manage multiple assignments and deadlines in a fast-paced environment.

- Ability to work independently while collaborating effectively with attorneys and business stakeholders.

Preferred Qualifications

- Experience supporting corporate governance and entity management activities.

- Experience preparing and filing documents with U.S. Secretaries of State.

- Experience maintaining corporate records, minute books, and compliance calendars.

- Familiarity with contractor licensing and regulatory compliance requirements.

- Experience with legal entity management software or corporate database systems.

- Experience with Harbor Compliance or similar corporate compliance platforms is an asset.

- Prior experience in the construction, engineering, infrastructure, or industrial sectors is an asset.

Pay and Benefits:

The expected salary range for this role is: $55,000 - $75,000 per year

Individual pay is determined based on several factors, including work location, education, experience, unique skills and job conditions. Other considerations may include certifications, specialized training, and the complexity or scope of the role.
