About this role

M&A Diligence Analyst

Western Veterinary Partners (WVP) is a private equity backed company that acquires, invests in, and supports veterinary practices and animal hospitals across the United States. WVP is highly acquisitive and focused on continued growth and expansion into new regional markets and states. Post-acquisition, WVP supports its partner practices with the non-clinical side of the business by providing industry leading non-clinical business support services.

Headquartered in Denver, CO, we are driven by our values of integrity, collaboration, alignment, growth, support, and relationships. We are expanding our team and seeking a highly qualified M&A Diligence Analyst who will support the Corporate Development team with our financial due diligence process. This role will be a critical component of our broader due diligence process and will report directly to the Director of M&A Diligence. Qualified candidates should demonstrate knowledge of accounting principles, a passion for performing financial analyses, excellent communication and organizational skills, and a positive attitude and desire to learn from others in a fast paced environment.

How You Will Spend Your Time

Roughly half of this role is quality of earnings (QofE) and financial due diligence — building the QofE databook, proof of cash, and payroll reconciliation that our lender relies on for every acquisition. The remaining half of your time will be spent supporting our Corporate Development team on front-end modeling, valuation, and purchase price structuring for targets we are evaluating. You'll see a deal from the first model through closing.

Responsibilities

- Own the preparation of a QofE databook, including proof of cash analysis, to evaluate a potential target hospital’s pro forma earnings, historical cash flows, and overall reliability of past financial results

- Build financial models and investment memorandums to help the Corporate Development team assess new investment opportunities, perform valuation analyses, and create various purchase price / acquisition structures for potential targets

- Work directly with the Corporate Development team, hospital owner (or owners), and sell-side advisors to collect and analyze a target hospital’s transaction level detail

- Clearly communicate financial risks, opportunities and results to the Corporate Development team and other key stakeholders involved in the due diligence process

Requirements

- Bachelor’s degree in accounting, finance or a related field

- 1 - 3 years in public accounting, FP&A, or a similar accounting focused role

- Advanced Excel skills and comfort working with large, unstructured data sets

- Strong attention to detail and understanding of accounting concepts

- Ability to manage multiple live deals at once and keep each one's status straight against hard deadlines

Preferred Qualifications

- CPA or CPA-eligible

- Experience with QuickBooks (Online and Desktop)

- Experience in multi-site healthcare, retail, or similar industries
