Role summary

Chevron Netherlands B.V. is looking for a Governance Specialist to support effective corporate governance for Chevron legal entities in the Netherlands and other European countries.

The role supports timely, well-documented board and shareholder decisions, maintains reliable legal-entity records, coordinates corporate actions and entity changes, and helps ensure a clear audit trail for governance activities.

The Governance Specialist works mainly independently as the Netherlands governance subject-matter specialist. The role provides governance process guidance, documentation support, coordination, and escalation. Matters requiring formal legal advice, legal interpretation, privilege, legal risk assessment, or binding legal positions are escalated to internal or external counsel.

The role may be based in Rotterdam or Amsterdam, with flexibility to work from both locations and limited travel to other Chevron locations as required.

Key responsibilities

Board and shareholder governance
Prepare annual calendars, agendas, briefing materials, resolutions, powers of attorney, and minutes so that board and shareholder decisions are timely, complete, properly authorized, and traceable. Coordinate and, where appropriate, chair board and shareholder meetings. Track decisions and actions through completion and support the annual Netherlands board summit.

Legal-entity compliance and records
Maintain accurate, complete, and accessible legal-entity records, statutory documentation, and entity data. Coordinate required approvals, signatures, and filings. Monitor recurring governance obligations and protect the integrity of the corporate record for audit, legal review, and management decision-making.

Entity lifecycle and corporate restructuring
Coordinate incorporations, reorganizations, board-of-director changes, capital contributions, dividends, mergers, redomiciliations, dissolutions, and liquidations. Prepare decision documentation, manage dependencies, support internal approval processes, and ensure corporate-action milestones are completed with clear ownership and an evidence trail.

Governance advice and escalation
Provide governance guidance to boards, management, and business partners on Dutch subsidiary-governance requirements, internal policies, process steps, and documentation standards within the role’s authority. Identify legal, tax, accounting, or regulatory issues and escalate them promptly to the appropriate specialist.

Cross-functional transaction and contract support
Coordinate governance input for commercial agreements and corporate transactions. Work with Procurement, Finance, Tax, Legal, and the business to establish appropriate approvals, documentation, and execution steps.

Controls, reporting, and continuous improvement
Maintain governance calendars, trackers, templates, and management reporting so that obligations, milestones, risks, and ownership are visible and actively managed. Improve standard work, document processes, support audits and control reviews, and help simplify governance processes and legal-entity structures where approved.

Stakeholder and project management
Lead medium-scope governance projects with limited supervision. Align stakeholders across countries and functions, manage milestones and risks, and communicate clear status updates, decisions, and required actions.

Scope

The role primarily supports more than 35 legal entities in the Netherlands, together with additional entities in Belgium, Germany, France, the United Kingdom, and other European jurisdictions as required.

Required qualifications and experience

- Bachelor’s degree in corporate law, governance, or a comparable discipline, or equivalent relevant experience.
- Demonstrated experience in corporate law, corporate governance, company secretarial work, legal-entity management, holding-company finance, or a closely related environment.
- Working knowledge of Dutch private-company law and governance, board and shareholder decision processes, and corporate-record requirements.
- Ability to draft concise resolutions, minutes, governance memoranda, and executive-ready decision materials in English.
- Strong planning, project-management, and stakeholder-management skills.
- Ability to work independently and escalate appropriately.
- High attention to detail, discretion, and commitment to accurate, audit-ready documentation.
- Professional proficiency in Dutch.

Preferred qualifications and experience

- Experience supporting multi-country European entity portfolios, corporate restructurings, or legal-entity simplification projects.
- Experience coordinating with civil-law notaries, external counsel, auditors, tax advisers, and internal governance or subsidiary-management teams.
- Familiarity with entity-management systems, SAP or similar enterprise tools, and governance reporting dashboards.

Success in this role

Success in this role means that board and shareholder decisions are supported by complete, accurate, and timely materials; corporate records and entity data are current and traceable; governance obligations and corporate-action milestones are met; issues are identified early and routed to the right specialist; stakeholders receive clear status reporting and practical next steps; and governance processes are progressively simplified where approved.

This is an expert individual-contributor and influencer role unless the approved organization design adds people-management accountability. The role requires ownership, sound judgment, constructive challenge, collaboration across functions, clear communication with boards and senior stakeholders, and disciplined escalation where matters require specialist advice or formal approval.
