Position: Legal and Company Secretary

Location: Head Office
The legal and Company Secretary will help to ensure that VFR complies with all legal and regulatory requirements. S/he will provide legal advice, draft and review contracts, manage litigation risks, and ensure compliance with financial Laws and regulations.
Major responsibilities
- To advise members of the Board of Directors on their responsibilities and powers.
- To inform members of the Board of Directors about all the necessary regulations or those which may affect the meetings of shareholders and of the Board of Directors, reports thereof and submission of all company documents required by the law to relevant organs as well as consequences due to the failure to comply with such regulations.
- To ensure that minutes of the meetings of shareholders or the Board of Directors are well prepared and that registers provided for by the articles of association are accurately kept.
- To make sure annual balance sheet and other types of required documents are submitted to the Registrar General as provided for by Law.
- To ensure that copies of annual balance sheet and activity reports are transmitted to relevant destinations in accordance with this Law and to any person as provided by Law
- Advise management to ensure compliance with local and international Laws
- Assess, recommend and implement improvements to the Bank’s legal procedures
- Draft, negotiate and review all the Bank’s legal agreements and advice Management regarding the implications for VisionFund Rwanda PLC, and any actions required by the Bank.
- Communicating with Management and Branch Managers on actions required to ensure legal compliance.
- Establish record keeping and tracking systems and provide reports to Management on the status of legal activities.
- Follow up of Board and Shareholder resolutions.
- Ensure disputes are resolved in a manner that safeguards Company’s position and in compliance with applicable legislation.
- Brief and monitor external counsel to ensure legal representation is effective.
- Develop effective working relationships with key user departments to ensure their needs are understood and appropriate solutions developed that support business needs.
- Provide legal counselling so as to ensure legal problems and risks are identified and dealt with before they emerge as significant.
- Other tasks that may be assigned by the position applicable professional hierarchy from time to time.
Qualification and Experience
Bachelor Degree in law with 3 years’ experience in related field in a financials institutions
