Job Description:
We are seeking a highly organized and detail-oriented Corporate Paralegal to support the Chief Administrative & Legal Officer and the broader needs of the business. This role will provide support across corporate governance and records, customer contracts, risk management, and litigation matters.
The ideal candidate is proactive, resourceful, and comfortable managing multiple priorities in a fast-paced business environment. This individual will work closely with internal stakeholders and external counsel and will play an important role in maintaining organized, efficient legal processes and documentation.
Key Responsibilities
Corporate Governance & Legal Documentation
- Maintain and organize corporate records, governance documents, entity records, and other legal documentation.
- Assist with the preparation, execution, filing, and maintenance of corporate documents, resolutions, consents, and related materials.
- Maintain legal files, document repositories, and records in accordance with company requirements.
- Track important corporate filings, deadlines, renewals, and other legal obligations.
- Coordinate signatures, notarizations, certifications, and document execution as needed.
- Support the Chief Administrative & Legal Officer with corporate governance and other legal or administrative matters.
Customer Contracts
- Assist with the review, preparation, negotiation and administration of routine customer agreements and related commercial documents.
- Support contract workflows, including routing agreements for review and approval, coordinating signatures, and maintaining executed agreements.
- Track contract status, renewals, expirations, and other key contractual dates or obligations.
- Partner with business stakeholders to gather information and facilitate timely completion of contracts.
- Escalate non-standard contractual terms and legal issues to the Chief Administrative & Legal Officer as appropriate.
Risk & Litigation Management
- Assist with the administration and tracking of litigation, claims, disputes, and other legal matters.
- Coordinate documentation and information requests related to litigation, claims, subpoenas, or other legal proceedings.
- Maintain matter files, calendars, deadlines, and status information.
- Assist with legal holds, document preservation, and discovery activities as needed.
- Coordinate with external counsel, insurance providers, and internal stakeholders on active matters.
- Support risk management initiatives and maintain related records and documentation.
General Legal & Administrative Support
- Maintain legal calendars, trackers, templates, and other tools used by the legal function.
- Assist with legal research and preparation of materials as requested.
- Help develop and improve legal department processes, templates, and document-management practices.
- Coordinate with Finance, HR, Sales, Operations, and other teams on legal matters as appropriate.
- Perform other legal and administrative duties in support of the Chief Administrative & Legal Officer.
Qualifications
- Bachelor's degree, paralegal certificate, or equivalent combination of education and relevant experience.
- Prior paralegal or legal support experience in a corporate legal department or law firm environment.
- Familiarity with corporate documents, commercial contracts, and legal matter management.
- Strong organizational skills and exceptional attention to detail.
- Ability to manage multiple priorities, deadlines, and confidential information.
- Strong written and verbal communication skills.
- Sound judgment and the ability to recognize when issues should be escalated to legal leadership.
- Ability to work independently while collaborating effectively across functions.
- Proficiency with Microsoft Office or Google Workspace and comfort learning legal and contract-management technology.
Preferred Qualifications
- Experience supporting an in-house corporate legal department.
- Experience with corporate governance and entity management.
- Experience reviewing or administering customer or commercial contracts.
- Experience supporting litigation, claims, discovery, or legal holds.
- Experience working with contract lifecycle management, legal matter management, or document-management systems.
