About this role

Job Responsibilities

- Perform full spectrum of corporate secretarial duties including company incorporation, organizing of board and/or committee meetings, and the preparation / drafting / reviewing of minutes and resolutions for the portfolio companies.

- Ensure that the portfolio companies are following the applicable international, federal, state and local regulatory and statutory requirements (in accordance with each entity’s nationality)

- Manage timely filing of AGM, EGM and statutory return documents, in accordance with the portfolio companies’ statutory requirements and/or corporate structure.

- Maintain accuracy and security of records, registers and other relevant documents required by applicable regulations and guidelines.

- Provide general advice on compliance requirements and business solutions.

- CEM lead for special projects e.g. set-up of entities, subsidiaries or branches, M&As, simple restructuring of group entities as necessary

- To provide support to the following:

Other Departments: To assist in the Group’s and/or the Group’s customers’ KYCs and obtain business profiles, provide statutory information, group structure, etc.

- External Local / Overseas Corporate Secretarial Providers: For the preparation / reviewing of resolutions and statutory filings required by the local and/ or overseas portfolio

- External Auditors: For queries/requests during annual audit period(s), for the Group.

- Perform other duties as assigned.

Job Requirements

Degree, Diploma and/or Chartered Secretary or equivalent

At least 6 years of relevant experience

Experience working in a large, complex, and structured multinational corporation (MNC) will be an advantage
