CANDIDATE PROFILE:
We are seeking a transaction-oriented professional to support senior members of the Business Development team in executing project divestitures, offtake processes and related commercial transactions. The ideal candidate combines strong analytical and communication skills with disciplined process management, sound judgment and a high level of ownership.
JOB SUMMARY:
The primary responsibility of this position is to support the Director, Business Development with 1) the divestiture of projects under development (pre-construction opportunities), and 2) the origination and execution of offtake and other commercial agreements. The candidate will assume meaningful responsibility across the transaction lifecycle, including preparation, buyer outreach, diligence, negotiation and closing. Over time, the candidate may also support the Director, Project Finance in securing and administering commercial bank debt and project bonds.
ESSENTIAL FUNCTIONS:
- Divestitures
- Prepare high-quality transaction materials, including teasers, confidential information presentations, management presentations, process letters and buyer-specific analyses, for the sale of battery energy storage and solar PV assets
- Support identification and outreach to buyers by leveraging OCI relationships, the candidates industry contacts and targeted market research
- Manage transaction workplans, buyer trackers, outreach sequencing and virtual data rooms across multiple concurrent processes to ensure timely, accurate and consistent delivery of project information
- Support buyer diligence by triaging requests, coordinating cross-functional workstreams and ensuring timely, accurate and consistent responses
- Support proposal evaluation and negotiation of transaction documents, with appropriate focus on value, execution risk, closing certainty and timely completion; prepare concise senior-management updates identifying key issues, decisions, owners and next steps
- Other Transactions (e.g., PPAs, Build Transfer Agreements and Tolling Agreements)
- Serve as transaction manager responsible for the thorough preparation and timely submission of high-quality proposals for new contracts
- Manage cross-functional teams of internal and external resources to ensure accurate, timely and competitive proposals and contract execution
- Project Financing
- Prepare high-quality transaction materials, including teasers, confidential information presentations, management presentations, process letters and buyer-specific analyses, for the financing battery energy storage and solar PV assets
- Support lender due diligence processes, including management of data rooms, diligence requests and transaction workstreams.
- Support evaluation of financing proposals, debt sizing, financing structures and lender comparisons.
- Support loan administration and reporting, including lender consents, amendments, borrowing requests, monthly reporting, interest payments, swap estimates and other financing-related obligations.
- Track financing conditions precedent, closing deliverables and post-closing obligations.
QUALIFICATIONS:
- Bachelors degree in Finance, Economics, Business, Engineering or another relevant area of study
- MBA or other advanced degree is a plus
- Three plus (3+) years of relevant experience in investment banking, infrastructure investing, project finance, corporate development or renewable energy transactions; transaction execution experience in power, utilities, infrastructure, solar or battery storage is preferred.

- Self-starter with a high level of ownership who anticipates needs, identifies gaps, advances assigned work independently and coordinates internal and external resources to meet key transaction deadlines while taking direction from senior members of the Business Development team
- Strong interpersonal skills and the ability to work effectively across multi-functional teams, manage peers and communicate with senior management
- Exceptional written, verbal and presentation skills, including the ability to convert complex commercial and technical information into concise, decision-useful materials
- Advanced PowerPoint and Excel capabilities; working knowledge of transaction documents, diligence processes and virtual data rooms; proficiency with AI-enabled productivity tools and sound judgment regarding confidential information

- Ability to travel to project sites and business meetings as needed. Valid driver's license may be required for positions involving company-related driving.
