Compensation Overview

The annual base salary range provided for this position is a nationwide market range and represents a broad range of salaries for this role across the country. The actual salary for this position will be determined by a number of factors, including the scope, complexity and location of the role; the skills, education, training, credentials and experience of the candidate; and other conditions of employment. As part of our comprehensive compensation and benefits program, employees are also eligible for performance-based cash incentive awards.

## What Is the Opportunity?
The Corporate Governance Coordinator is a hybrid role that combines dedicated executive administrative support with substantive corporate governance and legal assistant/paralegal responsibilities for the Corporate Secretary's Office. The Coordinator manages the team's day-to-day administrative operations — scheduling, travel, and expense processing — while also taking responsibility for governance projects, including board and shareholder meeting logistics, board materials distribution, corporate records maintenance, and regulatory compliance filings. Success in this role requires sound judgment, discretion with confidential and market-sensitive information, and the ability to move fluidly between administrative and governance work on a daily basis.
## What Will You Do?

Board & Governance

- Manage the annual governance calendar for the Corporate Secretary and Board
- Coordinate board of directors and committee meetings end-to-end, including scheduling, agenda preparation, and materials distribution
- Assist lawyers with the preparation of board and committee materials
- Administer the BoardVantage portal, posting materials, reports, and communications on a consistent schedule, and serve as the primary point of contact for portal troubleshooting
- Provide on-site support at board meetings to ensure materials are available and directors and attendees are taken care of throughout

Corporate Records & Filings

- Maintain corporate records, including minute books, director and officer listings, the affiliated entities list, and governance resolutions and consents, ensuring all documents are properly and timely filed
- Coordinate and process regulatory filings, including NAIC biographical affidavit submissions for newly appointed insurance company officers and changes in agents for service of process
- Manage vendor relationships supporting governance functions, including coordinating renewals and support requests

Shareholder / Investor Relations

- Coordinate shareholder engagement scheduling, managing tight calendars for senior leaders and investors with precision and professionalism
- Support logistics planning for the annual shareholder meeting in coordination with the event planning, security, and communications teams; maintain the master logistics checklist and track action items to completion
- Monitor peer company shareholder meetings, noting shareholder questions and emerging themes to inform preparation for the annual meeting

Administrative Support

- Manage calendars and complex scheduling for senior leaders and the Corporate Governance team
- Arrange travel, prepare and submit expense reports, manage vendor invoices, and process director expense reimbursements accurately and on time
- Prepare and format PowerPoint presentations, Word documents, and PDF materials, including graphics, charts, and clean versions generated from redlines
- Perform other duties as assigned.

What Will Our Ideal Candidate Have?

- Experience with BoardVantage, Diligent Boardbooks, or a comparable board portal

- Familiarity with corporate governance functions, board meeting support, or corporate records maintenance at a public company or in a regulated industry

- Experience supporting C-suite, Corporate Secretary's office, or board of directors

- Paralegal certificate or equivalent legal assistant experience

What is a Must Have?

- 3 years of experience supporting senior leadership in an administrative, executive assistant, or governance/paralegal support capacity
