Role Overview

You will be responsible for delivering an extensive range of corporate secretarial and governance services to a portfolio of clients, providing high quality advice and work with others in the portfolio team to deliver an excellent client experience and ensure clients remain up to date with their statutory obligations. You will also be responsible for contributing to driving success of the Governance Advisory team as a whole, and the individuals within it.

As a manager you will make a commercial contribution to Law Debenture, bringing company secretarial experience and managerial skills to the team as required. You will work collaboratively with other members of the team to enable us to meet our business plan.

Job Role & Responsibilities

- Deliver a range of high-quality company secretarial services to a range of clients in line with your billable hours and recovery rate targets.

- Provide end to end board and committee support for clients, including drafting meeting papers where applicable, meeting paper collation, attendance at meetings, drafting minutes and chasing actions.

- Provide advice on corporate governance best practice and reviewing relevant documentation.

- Follow operational processes which ensure financial hygiene (time recording, in/out of scope work, billing etc), effective document management and support data driven decision making (e.g., up to date resourcing plan, skill matrix, feedback and performance management etc).

- Mentor junior members (including Assistant Managers) of the team on technical matters, where applicable.

- Provide feedback on work produced and answer queries by more junior members of the team to ensure that quality service delivery to clients is maintained across UK CSS.

- Act as relationship manager for certain clients (depending on size).

- Regular relationship meetings with key clients.

- Provide support as required in developing processes and procedures within the UK CSS team.

- Ensure you remain up to date with relevant legal and regulatory requirements and horizon scan for upcoming changes.

People Manager Responsibilities

- Onboard team members

- Hold regular 1-1s with your team

- Conduct twice yearly Performance Reviews

- Mentor team members

- Agree and set goals with your team members

- Oversee Health and Compassionate Leave, ensuring the policy is adhered to, approving other types of time off requests

- Manage Performance and Conduct through both informal and formal means, engaging with HR where appropriate

Essential Knowledge, Skills & Experience

- ICSA/CGI fully qualified (or other professional qualification if relevant experience can be demonstrated).

- A degree in Law/Business Studies preferable but not essential.

- Experience of attending and minuting Board and Committee meetings, preferably in the financial services sector.

- Commercial and practical outlook.

- Ability to build relationships and rapport, demonstrating credibility.

- Solution focused, confident in communicating effectively with stakeholders at all levels.
