Role Summary

In this role as Director, Investment Advisory Compliance, you will lead a team within T. Rowe Price’s Compliance & Risk Management organization and provide regulatory guidance and independent oversight across the firm’s client-facing investment advisory business and advice offerings. The role is responsible for execution strategy, risk-based prioritization, and senior stakeholder alignment across distribution and assurance business units.

The successful candidate will bring extensive experience supporting SEC-registered investment advisers, broker-dealer trading, and operations with complex, multi-entity financial services organizations. The role spans current and emerging advisory and wealth capabilities and requires the ability to translate regulatory requirements into practical guidance, disclosures, policies, controls, supervision, training, and governance across legal entities, client channels, and third-party relationships.

Responsibilities

- Serves as a senior Compliance & Risk Management subject-matter expert and trusted adviser for investment advisory products, emerging wealth capabilities, strategic initiatives, and material program changes.
- Leads and develops a team of Compliance professionals by setting priorities, allocating work, providing coaching and feedback, evaluating performance, and building team capabilities.
- Provides regulatory guidance throughout the lifecycle of an advice offering and evaluates business models, client journeys, associate responsibilities, fees, disclosures, technology, investment methodology, operations, supervision, and controls.
- Assesses interactions among registered investment advisers, broker-dealers, retirement and workplace businesses, affiliated entities, custodians, recordkeepers, sub-advisers, and other service providers to identify cross-entity and cross-regulatory impacts.
- Applies the Investment Advisers Act of 1940 and related requirements, including fiduciary duty, conflicts of interest, Form ADV, advisory agreements, wrap-fee programs, marketing, fees and billing, trading, custody, books and records, privacy, and supervision.
- Partners with assurance partners to draft and/or review regulatory documents, including Form ADV filings and brochures, advisory agreements, client disclosures, policies and procedures, governance materials, and examination responses, and provides independent review and effective challenge of related business proposals and implementation decisions.
- Advises on compliance-program governance, including risk assessments, policies and procedures, monitoring and testing, training, management reporting, regulatory change, and continuous improvement.
- Assesses emerging advisory and wealth capabilities, including digital and hybrid advice, tax-aware investing, insurance and estate-related services, and third-party professional relationships, and engages Legal or specialized subject-matter experts as appropriate.
- Supports regulatory due diligence and oversight of material third parties and evaluates incidents, complaints, monitoring results, regulatory developments, and examination findings for broader risk, escalation, and remediation needs.
- Leads complex cross-functional regulatory initiatives, represents Compliance & Risk Management in governance forums, and supports examinations, audits, compliance testing, and remediation activities.

Qualifications

Required:

- Bachelor’s degree or the equivalent combination of education and relevant experience and 10+ years of experience in investment adviser compliance, financial services regulatory compliance, Legal, regulatory risk, regulatory consulting, or a related discipline.
- Series 7, 65 and 24
- Experience supporting SEC-registered investment advisers and client-facing advisory solutions, with a strong understanding of the Investment Advisers Act of 1940 and related SEC regulations.
- Experience working with managed accounts, wrap fee programs, financial planning, retirement, and workplace advice, digital or hybrid advice models, tax-aware investing, and other integrated wealth management solutions.
- Understanding of how advisory, broker-dealer, and retirement regulations intersect, with experience navigating complex business models involving multiple legal entities, products, client segments, distribution channels, and third-party relationships.
- Proven ability to draft, review, and provide guidance on regulatory and client-facing materials, including Form ADV filings and brochures, advisory agreements, client disclosures, policies and procedures, and responses to regulatory examinations or inquiries.

Preferred:

- 5+ years of people leadership experience, with a track record of building high-performing teams through hiring, coaching, performance development, and effective workload management.
- Experience supporting both registered investment adviser and broker-dealer businesses.
- Experience within a large, multi-entity financial services organization and with third-party advisers, sub-advisers, custodians, or recordkeepers.
- Experience supporting SEC or FINRA examinations, internal audits, investigations, or significant remediation efforts.
- Relevant professional certifications, legal credentials, or advanced compliance designations.
- Strong judgment and communication skills, with the ability to lead complex initiatives, partner effectively with senior leaders, make informed decisions in evolving situations, and identify when additional expertise or escalation is needed.

FINRA Requirements

FINRA licenses are required and will be supported for this role.

Work Flexibility

This role is eligible for hybrid work, with up to one day per week from home.

Base Salary Ranges

$143,000.00 - $245,000.00 for the location of: Maryland, Colorado, Washington and remote workers
$158,000.00 - $269,000.00 for the location of: Washington, D.C.
$179,000.00 - $306,000.00 for the location of: New York, California

Placement within the range provided above is based on the individual’s relevant experience and skills for the role .  Base salary is only one component of our total compensation package .  Employees may be eligible for a discretionary bonus, which is determined upon company and individual performance.
