The Opportunity:
The position reports directly to the Company’s General Counsel and works closely with other members of the Legal Department and CACI senior executives, in both staff and operations, advising them on key issues of interest and providing both legal and business guidance to support their needs. This position involves significant responsibility supporting the full range of work in CACI’s Legal Division, with particular focus on government contracts, commercial transactions, and intellectual property , and compliance with federal procurement laws and regulations.

Responsibilities:

Government Contracts

- Support CACI’s contract and procurement activities in the negotiation and administration of the Company’s business.
- Interpret, draft, and negotiate government contract clauses; manage government claims, business disputes, and bid protests.
- Draft and negotiate subcontracts and teaming agreements, address ethics and organizational conflicts of interest issues.
- Provide special expertise in federal subcontracting and purchasing requirements under applicable regulations, including Government purchasing system standards, flow down requirements, and supplier management obligations.
- Deliver practical guidance to internal stakeholders to ensure compliance with all relevant federal procurement laws and regulations.

Commercial Contracts

- Lead the review, drafting, and negotiation of commercial agreements with vendors, suppliers, service providers and technology partners.
- Provide legal and strategic guidance regarding commercial terms, licensing, risk allocation, intellectual property rights, indemnification, and other key contractual provisions.
- Support business development and operations teams in structuring transactions and optimizing contractual outcomes.

Intellectual Property

- Provide legal and strategic guidance on patents, copyrights, trademarks, and trade secrets.
- Oversee CACI’s patent program, develop and implement patent strategies in coordination with CACI leadership and manage outside patent counsel.
- Oversee IP licensing and IP terms in commercial and government agreements, including NDAs and data rights provisions.
- Advise on IP rights under FAR/DFARS and under contract, subcontracts, joint ventures, supplier agreements, and other business relationships.
- Advise on software licensing, including evaluation, drafting, negotiation, and risk analysis of software-related agreements.
- Support open‑source software compliance, including review of OSS components, license obligations, and integration of OSS policies into engineering and product workflows.

Compliance & General Legal Support

- Conduct internal investigations and serve as a point of contact for government inquiries and investigations.
- Develop policies and procedures to comply with emerging federal procurement and regulatory requirements.
- Support legal due diligence for acquisitions and divestitures; draft and negotiate transaction documents; assist management with risk allocation in corporate transactions.
- Support litigation and other general legal matters as assigned by the General Counsel.

Qualifications:

Required:

- Minimum of 18 years professional experience, to include minimum of seven (7) years of experience in government contracts, and intellectual property.
- Experience in commercial and government contracts, intellectual property, and related legal domains as described above.
- Significant experience in contract negotiation and drafting to expedite deal closures and optimize contractual terms.
- Experience with IP matters, including patent portfolio management and general IP transactions, counseling, and litigation.
- Strong understanding of FAR/DFARS requirements, including data rights and federal procurement rules.
- Strong writing skills and a reputation for integrity and professionalism.
- Superior interpersonal skills with the ability to work effectively with employees and management.
- Attention to detail, strong time‑management skills, critical thinking, and practical problem‑solving ability.
- Adaptability, independence, and the ability to operate in a fast‑moving environment.
- Bar: Juris Doctor and member in good standing of the bar in at least one U.S. jurisdiction.
- Security Clearance: Possession of or eligibility to quickly obtain a Top Secret/SCI clearance.

There are a host of factors that can influence final salary including, but not limited to, geographic location, Federal Government contract labor categories and contract wage rates, relevant prior work experience, specific skills and competencies, education, and certifications. The proposed salary range for this position is:
$149,400 - $351,000
