- Monitor market dynamics, competitive activity and relevant regulatory developments to inform strategic choices.

- Oversee financial models, valuations and investment cases that enable rigorous, timely decisions.

- Direct due diligence across financial, legal, tax, operational and commercial workstreams, aligning internal leaders and external advisors.

- Structure and negotiate transaction terms, including letters of intent, purchase agreements and definitive documentation.

- Cultivate trusted relationships with investment banks, brokers, private equity firms, founders, executives and industry contacts to strengthen the deal pipeline.

- Partner with business unit leaders to plan post-merger integration and deliver expected value and synergies.

- Prepare clear, decision-ready M&A materials for the Board of Directors and Executive Committee.

What makes a successful Managing Director, Corporate Development

- 15+ years of experience in investment banking, private equity or corporate development, with deep expertise in M&A, due diligence, transaction advisory, negotiation and valuation.

- A demonstrated record of leading and closing complex transactions from origination through execution.

- Advanced financial modelling, valuation and analytical capabilities, paired with sound business judgment.

- Executive-level communication, stakeholder leadership and negotiation skills.

- The credibility and presence to engage founders, CEOs, senior executives, transaction advisors and M&A market participants.

- An entrepreneurial, results-driven approach focused on value creation, with the decisiveness to perform in a fast-moving, high-pressure environment.

- Comfort operating through ambiguity and moving fluidly between strategy, deal dialogue and negotiation challenges with full ownership.

- Availability for domestic and international travel.
