Business Function
Legal, Compliance and Secretariat (LCS) is responsible for the management of legal, regulatory and financial crime risk, and the administration of corporate secretariat responsibilities. We ensure that the conduct of business is consistent with risk appetite for legal/regulatory risk. We also maintain a program to mitigate legal/regulatory risks by appropriate identification, assessment, monitoring and reporting of such risks. LCS risk appetite is driven by the letter and spirit of laws and regulations, and by the expectations of our shareholders, our regulators and the communities which we serve.
RESPONSIBILITIES
A. Legal Advisory & Transaction Support
- Financing & Lending Support: Advise on complex corporate banking transactions, syndicated and bilateral loans, structured project financing, debt restructuring, and cross-border corporate lending facilities.
- Markets & Derivatives Support: Review, draft, and negotiate trading documentation and structured financial products, including master agreements, collateral support annexes, repurchase agreements, and securities lending; advise stakeholders on regulatory netting, collateral enforceability, and margin requirements.
- Transactional Banking Support: Provide comprehensive legal counsel on wholesale banking products, including cash management structures, trade finance, supply chain finance, escrow arrangements, and digital platform agreements as well as associated third-party vendor contracts.
B. Risk Management
- Identify, assess, and mitigate legal and regulatory risks arising from new product approvals, strategic business initiatives, and digital transformations across institutional and wholesale banking portfolios
- Ensure strict adherence to local laws and regulations and legal frameworks alongside DBS Group Legal, Compliance, and Secretariat policies.
- Collaborate cross-functionally with Risk Management Group (RMG), Group Finance, and Compliance on credit risk mitigants, enforceability opinions, regulatory reporting, and audit remediation.
C. Documentation & Governance
- Draft, review, and negotiate any and all legal documentation with regard to the banking products, services and/or facilities and other matter whereby DBSI is a party thereto, including, among others, banking facility documentation, master agreements, transaction term sheets, customized legal notices, and customer-facing terms and conditions.
- Oversee and update legal standard operating procedures (SOPs), transaction playbooks, and contract templates to streamline closing times while protecting the DBSI's legal interests.
- Manage external counsel panels, monitor legal expenditures, and ensure prompt turnaround times to support commercial objectives across business units.
REQUIREMENTS
- Education: Bachelor of Laws (LLB); admission to practice law (advocate qualification or relevant jurisdiction bar) is preferrable.
- Experience: Minimum 10–12 years of post-qualification legal experience, ideally with strong in-house experience within a major international bank or top-tier law firm specializing in banking & finance, capital markets, or derivatives.
- Domain Knowledge: Deep familiarity with corporate lending, financial markets/treasury documentation (ISDA/GMRA), and institutional transactional banking operations.
