The Opportunity

Our Bangkok office advises Thai and international clients on some of the most significant and complex transactions in Thailand and across Southeast Asia. We work with listed companies, multinational corporations, private equity sponsors, investment funds, financial institutions, family offices and growth-stage businesses across a broad range of sectors, including healthcare, education, technology, manufacturing, consumer products, energy and infrastructure, hospitality, financial services and real estate.

Our Corporate practice focuses on mergers and acquisitions, joint ventures, private equity investments, corporate restructurings, capital markets transactions, foreign direct investment, corporate governance, regulatory compliance and general commercial matters. We regularly advise on domestic and cross-border transactions and work closely with leading international law firms and global investors on matters throughout the region.

We are seeking a Mid-level to Senior Associate to join our market-leading Corporate practice in Bangkok. Working within a highly collaborative and internationally focused team, you will be exposed to sophisticated transactional work, complex cross-border matters and high-profile clients operating across Southeast Asia. This is an excellent opportunity for an ambitious lawyer looking to further develop their technical expertise while taking a leading role in transaction execution and client management.

Key Responsibilities

- Advise clients on domestic and cross-border mergers and acquisitions, joint ventures, private equity investments and corporate restructurings.
- Draft, review and negotiate a broad range of transaction documents, including share purchase agreements, share subscription agreements, shareholders' agreements, joint venture agreements and financing documentation.
- Manage legal due diligence exercises and prepare due diligence reports.
- Assist clients with corporate governance, compliance and regulatory requirements.
- Support business development initiatives and contribute to client relationship management.
- Work directly with partners, senior management teams, investors and other key stakeholders throughout the lifecycle of transactions.
- Mentor and supervise junior associates as part of a collaborative team environment.

To Be Successful In This Role, You Will Be Able To Demonstrate The Following

- Thai law qualification.
- Strong academic background with an LL.B. degree from a recognised university.
- Approximately 6-10 years of experience gained within a leading law firm or reputable corporate legal environment.
- Significant experience advising on M&A, joint ventures, private equity transactions matters and corporate restructurings.
- Excellent drafting, negotiation and legal analytical skills.
- Strong project management and organisational abilities.
- Excellent command of written and spoken Thai.
- Strong command of written and spoken English.
- Commercially minded, with a practical approach to solving complex legal and business issues.
- Strong interpersonal skills and the ability to build trusted relationships with clients and colleagues.
- Growth mindset, intellectual curiosity and a commitment to professional excellence.
- Enthusiastic, proactive and collaborative team player.
- Interest in leveraging AI and legal technology to improve efficiency and ways of working.
