Join us as a CoSec & Governance Lead and play a key role in transforming a global Company Secretarial and Governance function, driving corporate governance excellence, legal entity management, compliance, and operational performance across a multinational environment. Partner with senior stakeholders while building and developing a high-performing team supporting global business operations.

Key Responsibilities

- Implement the strategy for the Global Entity Management (GEM) team within a Shared Services (SSC) environment
- Drive continuous improvement, standardisation, automation, and operational excellence initiatives across global governance processes
- Act as a trusted business partner to internal stakeholders, enhancing service delivery and client experience
- Lead and develop a high-performing team, providing coaching, guidance, and operational support
- Oversee company secretarial and legal entity management activities across multiple jurisdictions, ensuring regulatory compliance and governance excellence
- Assist in the provision of company secretarial services to legal entities and directors based in foreign jurisdictions, including board meeting administration, document execution and ad hoc project support
- Assist with scheduling board meetings, preparing agendas and papers for board meetings, attending the meetings (mostly by phone) and take minutes
- Share the minutes with the relevant parties, i.e., central repository, Group functions
- Support boards and directors through board meeting administration, governance oversight, and corporate compliance activities
- Co-ordinate with colleagues worldwide in order to gather information and documentation required to carry out assignments
- Advise senior management on corporate governance, legal entity management, regulatory compliance, data privacy, and related legal matters
- Ensure effective implementation of legal policies, controls, and governance frameworks, supporting risk management and audit remediation activities
- Collaborate with global stakeholders to deliver strategic governance initiatives and achieve Global Entity Management KPIs.
- Support the RDC Site Lead in ad hoc matters

Key Requirements

- Law degree (LLB or equivalent); Company Secretary qualification or oOther governance-related qualifications may also be considered
- Solid background in Company Secretarial (CoSec) and Corporate Governance
- At least 8 years of overall professional experience
- Minimum 3 years of people leadership experience
- Experience within the corporate services, fund administration, trust, or fiduciary services industry
- Experience managing and leading teams
- Strong entity management and governance exposure
- Board governance and statutory compliance experience
- Multi-jurisdictional exposure preferred
- Ability to support organizational growth and transformation
- Capability to manage larger teams in the future
- Excellent communication skills
- Strong stakeholder management skills
