Morgan Stanley has a position available in its Bank Legal group for an attorney with bank regulatory and digital asset experience. The position offers an opportunity to join a global financial services firm with work that presents challenging and often unique transactional, operational, and structural issues. The ideal candidate will have 4 or more years of relevant experience in the bank regulatory practice of a major law firm, bank, or federal banking agency.

The position will be with the Bank Legal group in Morgan Stanley's Legal and Compliance Division in the Dallas metro area reporting to the Head of Bank Regulatory Legal, who reports to the U.S. banks' General Counsel. Morgan Stanley's Bank Legal group offers advice to internal clients globally across all of the Firms' business segments operating on the firm's national bank subsidiaries on applicable OCC and Federal Reserve rules and regulations, including on product offerings, transaction structures, documentation and execution standards, franchise risk and related corporate matters. This position will provide advice on a variety of U.S. bank regulatory matters but will have a particular focus on providing bank regulatory legal support to the Firm's initiatives related to digital assets, including Morgan Stanley's establishment of a digital asset trust bank, and the development of associated fiduciary activities.

Duties and Responsibilities :

> Advise and provide guidance to business units and risk and control functions on application of U.S. banking law applicable to Morgan Stanley's U.S. bank subsidiaries;
> Advise on compliance with U.S. banking law related to digital assets and trust banks, including fiduciary requirements and help lead the regulatory legal coverage for Morgan Stanley's digital asset trust bank;
> Review agreements entered into by the U.S. banks for compliance with U.S. banking regulation, including Regulation W;
> Participate in review of new business initiatives through the U.S. banks' change management process;
> Review the U.S. banks' compliance policies in conjunction with Compliance policy owners;
> Provide guidance in connection with responses to regulatory exams, and Internal Audit and Compliance reviews; and
> Actively collaborate and engage with various departments and functions across Morgan Stanley and outside counsel.

Qualifications
A J.D., practical experience in U.S. bank regulatory law and/or supervisory expectations of the federal banking agencies, including (but not limited to) the National Bank Act, the Federal Reserve Act, the Dodd-Frank Act, the Guiding and Establishing National Innovation for U.S. Stablecoins Act (GENIUS Act) and regulations issued thereunder by the federal banking agencies, including 12 C.F.R. Part 9.

Transactional experience will be helpful, as is experience with bank supervisory examinations and enforcement actions.

Please note that the location listed for this role is temporary. The position’s work location will transition to 1445 Ross Ave, Dallas, TX 75202 at a future date . In-Person interviews will be required for the role.

Expected base pay rates for the role will be between $95,000 and $170,000 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
