About this role
We are seeking a motivated Team Member, Legal, Documentation & Internal Process to join our Trustee Operations team at RHB Banking Group. In this role, you will support legal documentation, compliance monitoring, internal process enhancement, and regulatory reporting activities across trustee and corporate trust functions. You will work closely with issuers, bondholders, regulators, legal counsel, and internal stakeholders to ensure compliance with trust deed covenants, facilitate legal documentation processes, and contribute to operational excellence through continuous process improvements and system enhancements.
What you will be doing
Compliance Monitoring & Internal Process
- Monitor the timely receipt of issuers' documents and ensure compliance with the covenants stipulated under Trust Deeds and related agreements.
- Prepare and issue reminder letters to issuers on instances of non-compliance and follow up on corrective action plans and remedies.
- Track and monitor all outstanding compliance matters, delayed submissions, and covenant breaches.

- Coordinate and compile beneficial owner lists with Appointed Depository Institutions (ADI).
- Escalate and report covenant breaches, irregularities, and Events of Default to the relevant regulatory authorities, including the Securities Commission Malaysia where required.
- Attend to compliance-related enquiries and issues raised by issuers, bondholders, facility agents, auditors, and relevant authorities.
- Monitor and update issuer rating reviews to ensure timely dissemination of information to affected stakeholders.
- Keep abreast of regulatory developments, guidelines, policies, and directives relating to compliance matters and communicate updates across relevant departments.
- Maintain and update operating manuals, procedures, and process documentation.
- Review and update policies, work processes, forms, and operational guidelines to strengthen controls and improve service delivery.
- Support process automation initiatives and system enhancements, including documentation of user requirements, system specifications, and User Acceptance Testing (UAT).
- Perform system maintenance, enhancement, and configuration-related activities.
- Prepare internal management reports and external regulatory submissions where required.
Legal Documentation & Corporate Trust Support
- Review and vet transaction documents relating to bond issuances, escrow agreements, resolutions, discharge documents, sale and purchase agreements, REIT-related legal documentation, and other legal documents as required.
- Coordinate and facilitate meetings such as Extraordinary General Meetings (EGMs) and informal meetings, including preparation of meeting minutes.
- Issue notices of resolutions and follow up with bondholders on proxy submissions and related documentation.
- Facilitate site visits requested by issuers and bondholders when necessary.
- Maintain and update ADI records and beneficial owner lists.
- Attend to enquiries from issuers and bondholders via correspondence, email, and telephone.
- Support billing-related activities by providing meeting details and assisting with the follow-up of outstanding invoices.
- Prepare documentation checklists for new bond issuances and related transactions.
- Prepare Directors' Circular Resolutions and coordinate document execution processes.
- Prepare and maintain management status reports and updates on a regular basis.
- Support Corporate Trust and other business units on legal matters, including reviewing agreements, deeds, legal documentation, due diligence exercises, and verification activities.
- Monitor updates to Securities Commission trust deed guidelines and regulatory requirements.
- Provide operational coverage in the absence of team members within the Legal & Documentation function.
- Perform duties as an authorised signatory for Trustee Operations where required.
- Coach and support new team members to ensure operational readiness and effective knowledge transfer.
- Undertake additional assignments and projects as assigned by Management from time to time.
What we're looking for
- Bachelor's Degree in Law, Business Administration, or a related field.
- Minimum 1-2 years of experience in a legal, corporate secretarial, compliance, trustee services, or corporate trust support role.
- Experience within financial services, banking, trustee services, capital markets, or trust industry environments will be an added advantage.
- Good understanding of corporate governance principles, legal documentation processes, and regulatory compliance requirements.
- Strong written and verbal communication skills in both English and Bahasa Malaysia.
- High attention to detail with the ability to review, manage, and maintain legal and regulatory documentation accurately.
- Strong organisational, planning, and time management skills with the ability to manage multiple priorities effectively.
- Proficiency in Microsoft Office applications, particularly Word, Excel, and PowerPoint.
- Ability to work independently while collaborating effectively with internal and external stakeholders.
- Proactive, adaptable, and eager to learn in a dynamic and evolving environment.
- Strong analytical and problem-solving skills with a commitment to maintaining high standards of accuracy and compliance.
