About this role

Job Requirements

v Qualifications & Experience Required:

- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI)
- Bachelor's degree in Commerce
- Bachelor's degree in Law as an additional qualification is preferred
- Updated knowledge of Companies Act & Rules, SEBI Regulations, filings with the Registrar of Companies (ROC) and Stock Exchange filings, including Debt listing, listing of Commercial Papers, Mergers & Acquisitions
- 6-8 Years of Post-qualification experience
- Experience of working in a multi-entity corporate structure is preferred

v Role:

The candidate will play a pivotal role in ensuring all secretarial compliances for GAVL and its unlisted subsidiaries and also assisting in legal and regulatory compliances, with integrity, transparency and efficiency.

v Key Responsibilities:

Ø Secretarial Meetings, Filings, Records & Other Compliances:

· Organizing and facilitating Board, Committee and Shareholders meetings, including drafting of agendas, resolutions, and minutes and co-ordination with the Directors for the same

· Handling statutory filings with the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA) and Stock Exchanges in a timely manner

· Handling listing compliances with respect to Commercial Papers & Non-Convertible Debentures

· Maintaining and updating Statutory Registers, Minutes Books, and Secretarial records

· Preparation of Annual Reports

· Co-ordinating with Secretarial Auditors, Statutory Auditors, Cost Auditors & Internal Auditors with respect to secretarial matters

· Handling matters pertaining to grant, vesting, exercise and lapse of stock options under the Employees’ Stock Grant Scheme in a timely manner

· Processing Dividend payments and compliances in a timely manner

· Handling and updating Board meeting software & Insider Trading software

· Drafting of policies mandatory under the Companies Act & Rules and SEBI Regulations

· Maintaining updated knowledge of Companies Act & Rules and SEBI Regulations and promptly effecting amendments as and when applicable to GAVL and its subsidiaries

· Handling Secretarial and Legal assignments as may be assigned from time to time

Ø Statutory Compliances:

· Handling compliance software for the organization including co-ordination with the users for timely reporting and monitoring

Ø Internal Co-ordination & Collaboration

· Collaborating with Finance, Human Resources and other teams for cross-functional compliances
