Managing Director – Corporate Governance & Shareholder Advisory
About the Role
FTI Consulting is seeking a Managing Director to lead and further develop our Corporate Governance and Shareholder Advisory capabilities within the Strategic Communications segment.
The successful candidate will be a senior adviser to boards, executive teams and other corporate leaders on complex matters involving corporate governance, shareholder activism, investor stewardship, executive remuneration and ESG-related governance. The role will help clients understand and respond to the expectations of institutional investors, proxy advisers and other key stakeholders, particularly during periods of heightened scrutiny, change or shareholder challenge.
This individual will bring deep knowledge of the global governance and stewardship landscape and a sophisticated understanding of how institutional investors and proxy advisers evaluate companies, boards and management teams. They will combine this expertise with strong commercial judgment and the ability to translate complex governance and investor issues into practical advice for senior corporate decision-makers.
The Managing Director will be expected to build and grow a differentiated EMEA-wide capability, originate and expand senior-level client relationships, develop talent and work collaboratively with colleagues across Strategic Communications and the broader FTI Consulting platform.
The role will have an international remit, with particular relevance across the UK, Europe and the Middle East.
Client Advisory
- Serve as a trusted senior adviser to boards, CEOs, General Counsel, Company Secretaries, Investor Relations leaders and other senior executives on corporate governance and shareholder matters.
- Advise clients preparing for or responding to shareholder activism, including campaigns focused on strategy, financial performance, capital allocation, governance, board composition, executive remuneration and ESG-related matters.
- Help clients identify and assess potential governance and shareholder vulnerabilities and develop strategies to address them before they become contested issues.
- Advise boards and management teams on engagement with institutional investors, stewardship teams, proxy advisers and other influential stakeholders.
- Provide strategic counsel around AGMs, shareholder votes, proxy contests and other situations in which companies need to understand and build support among their shareholder base.
- Advise companies on executive remuneration and the effective communication of remuneration philosophy, structures and outcomes to investors and other stakeholders.
- Counsel clients on governance and ESG reporting, including how governance structures, board oversight, management accountability and long-term value creation are communicated externally.
- Provide senior counsel during complex, sensitive and high-profile situations requiring the integration of governance, investor relations, financial communications and corporate reputation considerations.
Business Development and Practice Growth
- Build and grow a market-leading Corporate Governance and Shareholder Advisory offering within Strategic Communications.
- Originate new client relationships and expand existing relationships through high-quality senior counsel and an understanding of clients' broader business and reputational needs.
- Identify opportunities to bring together FTI capabilities across shareholder activism, M&A, financial communications, public affairs, crisis and issues management, litigation communications, cybersecurity, data and analytics, and other relevant disciplines.
- Develop relationships with key market participants, including institutional investors, proxy advisers, investment banks, law firms and other advisers.
- Develop differentiated intellectual capital, research and thought leadership on emerging governance, stewardship and shareholder issues.
- Represent FTI Consulting externally through conferences, client events, board briefings, media engagement and other market-facing activities.
Leadership and Collaboration
- Create opportunities for colleagues across the Strategic Communications segment to incorporate governance and shareholder advisory expertise into existing client relationships.
- Work across geographies and practices to support complex, cross-border client assignments.
- Collaborate with senior colleagues across FTI Consulting to develop integrated solutions for clients facing significant corporate events or challenges.
- Contribute actively to the continued growth, development and culture of the Strategic Communications segment.
