A Brief Overview
Drives ongoing strategic optimization of the Board of Directors, including meeting effectiveness, board member participation, board membership, member/chair transition planning, and board cohesiveness. Manages Governance for the Board of Directors and its committees. Leads operations for the Board of Directors and its Committees. Advises the Chair of the Board and other Board members on board affairs and lead the execution of relevant projects. Organizes Senior Leadership Council and Executive Council meetings; responsible for creating agendas, sourcing and preparing content/discussion items, and managing program follow-up.

What you will do
- Partners with the Chairman of the Board and CEO on board composition, evaluating member effectiveness, new member recruiting, and committee chair selection.
- Strategizes and develops new meeting formats/approaches to encourage board member participation and engagements
- Anticipates board member needs and proactively execute a wide range of solutions to improve the board member experience.
- Leverages Board Effect and other tools to improve content sharing and information access for board memberss
- Creates agendas for CEO and board chair 1:1 meetings.
- Prepares briefings for CEO to guide 1:1 meetings with board members.
- Leads the development, maintenance, and review of governance policies and procedures (e.g. Conflict of Interest policy), ensuring these are updated in accordance with current legislation and best practices.
- Revises and refines SHC Bylaws and Committee Charges with the OGC and ensure they are current and maintain Board Governance best practices.
- Advises Board and committee members on parliamentary procedures and encourages/ensures compliance with the Bylaws of SHC.
- Upholds the legal requirements of the governing documents.
- Plans and executes the full yearly schedule of Board of Directors meetings and associated committee meetings, including special sessions as needed.
- Advises and directs senior hospital management in preparing information and materials for consideration by the Board and its Committees.
- Directs the preparation of Board and Committee meeting materials, ensuring they meet the intent of the Boards.
- Ensures all minutes of Board and Committee meetings are recorded, and maintains official records related to Board business.
- Coaches committee staff on effective preparation, board processes, and more successful outcomes when interacting with the board.
- Develops and continually assesses board orientation curriculum and support the onboarding of new members.
- Works with CEO and Communications team to develop and distribute monthly reports for the Board memberss
- Serves as the liaison for activities between the SHC Board, and the Stanford University Board of Trusteess
- Leads board-specific projects, collaborating with the board chair, board members, and committee chairss
- Provides advice and resources to the Board as needed or as requested by the members.
Education Qualifications
- Master's Degree Master's in Business or Healthcare Administration preferred, equivalent experience required.
Experience Qualifications
- Ten (10) years of experience in general operations leadership, preferably in a healthcare setting.
Required Knowledge, Skills and Abilities
- Demonstrated experience in the development, review and maintenance of corporate governance policies and procedures.
- Experience in assessing Board member participation, effectiveness and cohesiveness.
- Demonstrated ability to effectively advise and direct senior and executive management in the preparation of Board and Committee meeting specific information and materials.
- Ability to collaboratively lead board-specific projects.
- Ability to make presentations to internal / external groups.
- Ability to plan, set goals, and create and update operational dashboards.
- Ability to support strategic and operational areas in collaboration with other leaders.
- Knowledge of LEAN methodologies as applied to Board functions.

Base Pay Scale: Generally starting at $103.03 - $136.49 per hour
The salary of the finalist selected for this role will be set based on a variety of factors, including but not limited to, internal equity, experience, education, specialty and training. This pay scale is not a promise of a particular wage.
