Commercial Paralegal

The Role

Hybrid (3-4 days from the office)

Reporting to and working closely with the Legal & Compliance Director and Senior Legal Counsel, both based in the UK, you will provide legal support to the business, ensuring that customer and supplier contracts protect the company’s interests and mitigate legal and commercial risks.

Responsibilities

Commercial & SaaS Contracts

- Review, draft, and negotiate SaaS agreements, including:
- Customer subscription agreements
- Terms of service and end-user license agreements (EULAs)
- Data processing agreements (DPAs)
- NDAs, vendor, and partner agreements
- Service Level Agreements

- Support the sales team with contract reviews and deal execution
- Maintain and update contract templates, policies and playbooks

Data Protection & Compliance

- Assist with compliance efforts relating to data protection laws around the world (e.g. GDPR, CCPA, UK GDPR and Canadian equivalent)
- Support RFP responses in relation to data protection and security/compliance questionnaires
- Work with internal teams on privacy policies and data-handling practices

Intellectual Property

- Assist with protection and management of intellectual property (software, trademarks, copyrights)
- Review IP clauses in commercial and vendor agreements

General Legal Support

- Provide day-to-day legal advice to internal stakeholders under supervision
- Help improve legal processes, workflows, and documentation
- Coordinate with external counsel as required
- Drafting, reviewing and helping negotiate various commercial contracts and supporting documentation, including responses to RFIs and RFPs, NDAs, MSAs (SaaS), Order Forms, Statements of Work, Reseller Agreements, Referral Agreements and Supplier contracts.
- Provide legal advice on contract interpretation, rights, and obligations to ensure compliance and mitigate risks.
- Collaborate with internal stakeholders, including sales, customer success, marketing, service support, HR, and finance teams.
- Assisting other departments on contract-related matters.
- Ad hoc responsibilities may include legal advice around all aspects of employment law, IP law, Data Privacy law, and Data Protection.

Requirements

- Preferably a qualified lawyer, Legal Executive or paralegal
- Preferably experience working in the technology industry
- Experience in drafting / reviewing / negotiating legal documents (contracts, NDA’s, RFP’s, supplier agreements.)
- Good knowledge of the general principles of law
- General understanding of privacy laws and regulations, including but not limited to GDPR and other major data protection frameworks across multiple jurisdictions
- Strong discipline, integrity, responsibility, and attention to detail.
- Comfortable in a rapidly changing environment, working on occasion with limited resources, and delivering high-quality work at the speed which is necessary for successful business growth.
- Self-starter who requires little guidance, who can think fast on their feet and prioritise work effectively.
- Adept at problem-solving with a can-do and positive attitude.
- Strong team player, with the ability to have a positive impact on the effectiveness of the Legal team.
