About this role
Kroll is seeking an Associate to join its Equity Capital Markets Advisory group in New York. We provide independent advice to companies and financial sponsors on IPOs, follow-on offerings, block trades, and other equity capital markets transactions. Working closely with senior ECM professionals, sector bankers, and clients, you will help manage and execute transaction processes from initial preparation through pricing and allocation.
The Associate will take ownership of analytical and transaction workstreams, translating market data and financial analysis into deliverables for both existing and prospective mandates. The role combines hands-on execution with direct participation in client discussions and the opportunity to develop independent advisory judgment.
Day-to-Day Responsibilities:
- Own defined workstreams on equity capital markets transactions, including IPOs, follow-on offerings, and block trades, under the direction of senior ECM professionals.
- Evaluate transaction timing, size, and structure to help clients raise capital and assess shareholder liquidity alternatives.
- Build and maintain valuation, comparable company, and precedent offering analyses, including dilution, ownership, and capital structure scenarios.
- Prepare client presentations, pitches, board materials, and recommendations that translate complex analysis into clear implications for client decisions.
- Analyze company financials, operating metrics, business plans, and industry trends to inform valuation, equity positioning, and transaction preparation.
- Monitor issuance activity, investor sentiment, sector performance, and aftermarket trading; identify implications for live transactions and prospective clients.
- Prepare underwriter and equity research analyst assessments; evaluate bank proposals, syndicate structures, underwriting fees, and distribution capabilities.
- Manage transaction timetables, deliverables, and follow-up with clients, underwriters, legal counsel, accountants, and internal deal teams.
- Support prospectus drafting, roadshow preparation, investor targeting and analysis of investor feedback, order books, pricing, and allocation recommendations.
- Maintain and improve transaction databases and market intelligence resources to strengthen the team’s analysis and advice.
- Participate in client meetings and contribute to strategic discussions regarding capital raising alternatives and market opportunities.
Essential Traits:
- Bachelor’s degree in Finance, Economics, Business Administration, Accounting, Mathematics, or a related field.
- Approximately 3–6 years of relevant experience in investment banking, equity capital markets, corporate finance, or transaction advisory; direct experience with public equity or equity-linked offerings is required.
- Strong financial analysis, valuation, and modeling skills, with the ability to interpret results and explain their implications for a transaction.
- Understanding of public equity offering processes and the roles of issuers, selling shareholders, underwriters, research analysts, and institutional investors.
- Advanced Excel and PowerPoint skills; experience with Bloomberg, Capital IQ, Dealogic, FactSet, or similar financial databases is preferred.
- Clear, concise written and verbal communication, with the ability to prepare accurate client materials and discuss findings confidently.
- Demonstrated ability to manage multiple workstreams, meet transaction deadlines, and maintain exceptional attention to detail.
- A collaborative approach, responsiveness, and a commitment to high-quality client service.
- Intellectual curiosity, sound judgment, initiative, and discretion when handling confidential information.
- Series 79 and Series 63 licenses, or the ability to obtain them within a reasonable timeframe after hire.
The Opportunity:
- Develop specialized ECM advisory expertise across transaction strategy, preparation, and execution.
- Work closely with senior ECM professionals and contribute to advice delivered to corporate executives and financial sponsors.
- Take meaningful ownership of workstreams while drawing on Kroll’s broader financial advisory platform.
- Build judgment at the intersection of company fundamentals, investor perspectives, and equity market conditions.
