About this role
About Our Client
Our client is one of the worlds leading full-service business law firms, recognized globally for advising trailblazing startups, high-growth technology ventures, and established multinational corporations. Fostering a collaborative culture anchored in excellence, innovation, and client service, the firm provides an exceptional platform for legal professionals to work alongside industry-leading corporate counsel on market-defining transactions.
The Opportunity
A premier global law firm is seeking an experienced, detail-oriented Corporate Paralegal to support high-stakes transactional matters, private company equity administration, and ongoing corporate governance. This is an immediate, contract-to-hire (temp-to-perm) engagement designed for a hands-on professional who can hit the ground running without ramp-up time. In this role, you will work closely with corporate attorneys across multiple practice offices, directly managing capitalization tables, facilitating complex M&A and venture financings, and executing critical state and federal regulatory filings.
The Location
This position is based in California, with primary office hubs in San Diego, Palo Alto, or Los Angeles. Operating on a flexible hybrid schedule, the role combines collaborative in-office team days with remote work flexibility. Candidates should be locally based within commuting distance of their designated home office; no relocation assistance or travel outside regional hub activities is anticipated.
What You Will Do
- Maintain, audit, and update complex capitalization tables, stock ledgers, and option records using modern equity platforms.
- Execute basic private company transfer agent functions, including processing stock issuances, stock transfers, option grants, and equity incentive plan records.
- Organize, draft, and file corporate formation and operational documents, including Articles of Incorporation/Organization, amendments, state qualifications, foreign registrations, consents, and annual reports.
- Prepare transaction deliverables, closing checklists, short-form deliverables, UCC financing statements, and electronic closing sets.
- Assemble comprehensive closing volumes and transaction bibles, managing end-to-end document assembly, indexing, and final client distribution.
- Assist attorneys with mergers, acquisitions, venture financings, entity dissolutions, and transactional due diligence.
- Manage virtual data rooms, corporate matter files, and both hard-copy and electronic minute books.
- Conduct Blue Sky state securities research and prepare compliance filings.
- Draft and file regulatory documents with federal and state agencies, including SEC EDGAR Next submissions (Section 16 forms and Form S-8 registration statements).
Who You Are
- Proven hands-on paralegal experience managing corporate governance and transactions within a law firm, financial services firm, or high-growth corporate legal department.
- Recent, immediate operational proficiency in both Carta and Pulley cap table platforms is strictly required.
- Demonstrated familiarity with SEC filings, including hands-on experience utilizing SEC EDGAR Next.
- Demonstrated career stability, with a track record of steady in-house or firm tenures rather than a pattern of consecutive short-term contract assignments.
- Advanced computer proficiency in Microsoft Office (Word, Excel, Outlook) and standard corporate legal technologies (such as Relativity, LexisNexis, or Westlaw).
- Meticulous organizational ability, strong written and verbal communication skills, and the capacity to juggle competing closing deadlines across multiple office locations.
Ideal Candidate Profile A seasoned corporate legal specialist—ideally bringing 10+ years of corporate paralegal experience (open to slightly less for candidates possessing exceptional, direct cap table expertise)—who thrives in a fast-paced transactional practice. Candidates with robust backgrounds in equity administration within venture-backed technology companies or financial institutions are strongly encouraged to apply.
Education & Qualifications
- Bachelors degree and/or an ABA-approved Paralegal Certificate strongly preferred, with a minimum of 1 year of substantive corporate paralegal experience.
- Candidates holding a High School Diploma or GED must possess a minimum of 5 years of specialized corporate legal support experience.
Flexibility & Work-Life Integration
- Work Structure: Hybrid arrangement combining remote flexibility with designated weekly days in the local office.l
- Schedule: Full-time standard business hours, non-exempt hourly position eligible for overtime as transaction volume requires.
- Environment: Collaborative, fast-paced professional legal practice environment requiring long periods of computer-based tasks, multi-office coordination, and virtual video conferences.
