About this role

The Opportunity

A premier global law firm is seeking an experienced, proactive Senior Corporate Paralegal to support its fast-paced corporate and transactional practice groups. This is an indefinite-duration contract assignment with direct temp-to-perm potential for the right candidate. Acting as a trusted partner to attorneys and clients across multiple offices, you will take ownership of sophisticated equity capitalization management, entity formations, closing mechanics for venture financings and M&A deals, and state/federal regulatory filings. You will step into a high-impact position where your expertise immediately drives complex transactions across the finish line with minimal supervision.

About Our Client

Our client is one of the worlds leading full-service business law firms, recognized globally for advising trailblazing startups, high-growth technology ventures, and established multinational corporations. Fostering a collaborative culture anchored in excellence, innovation, and client service, the firm provides an exceptional platform for legal professionals to work alongside industry-leading corporate counsel on market-defining transactions.

The Location

Primary office locations include San Diego, Palo Alto, and Los Angeles, CA. While local candidates working on a hybrid schedule (combining in-office and remote days) are preferred, full remote flexibility will be considered for exceptional, fully qualified talent who meet all critical requirements. Candidates should be comfortable coordinating seamlessly across West Coast and national office hubs. No travel outside of standard regional office engagements is required.

What You Will Do

- Maintain, audit, and update complex capitalization tables, stock ledgers, and option records using modern equity platforms.

- Execute basic private company transfer agent functions, including processing stock issuances, stock transfers, option grants, and equity incentive plan records.

- Organize, draft, and file corporate formation and operational documents, including Articles of Incorporation/Organization, amendments, state qualifications, foreign registrations, consents, and annual reports.

- Prepare transaction deliverables, closing checklists, short-form deliverables, UCC financing statements, and electronic closing sets.

- Assemble comprehensive closing volumes and transaction bibles, managing end-to-end document assembly, indexing, and final client distribution.

- Assist attorneys with mergers, acquisitions, venture financings, entity dissolutions, and transactional due diligence.

- Manage virtual data rooms, corporate matter files, and both hard-copy and electronic minute books.

- Conduct Blue Sky state securities research and prepare compliance filings.

- Draft and file regulatory documents with federal and state agencies, including SEC EDGAR Next submissions (Section 16 forms and Form S-8 registration statements).

Who You Are

- Substantive, senior-level corporate paralegal experience in a law firm, financial services equity administration team, or corporate legal department.

- Recent, direct hands-on proficiency in Carta is an absolute requirement, with the capability to manage complex capitalization tables independently from day one.

- Hands-on experience with equity management platforms like Pulley, as well as familiarity with transaction and legal tech tools such as SimplyAgree, DocuSign, SEC EDGAR Next, Relativity, LexisNexis, or Westlaw.

- Working knowledge of the California Corporations Code, Delaware General Corporation Law, the Securities Act of 1933,and the Securities Exchange Act of 1934.

- A collaborative, solutions-oriented, roll-up-your-sleeves work style, comfortable working extended hours (8–10+ hour days or occasional weekends) during critical transaction closings.

- Demonstrated career stability, with steady past tenures rather than a pattern of consecutive short-term contingent assignments.

- Strong written, verbal, and analytical communication skills with high attention to detail.

Ideal Candidate Profile A seasoned corporate legal specialist—ideally bringing 6 to 10+ years of corporate paralegal experience (open to reviewing candidates with 3 to 7 years who possess exceptional cap table and equity expertise). Morgan Workplace Solutions) or high-growth tech companies (e.g., SpaceX,Palantir, Alphabet) are strongly welcomed.

Education & Qualifications

- Bachelors degree and/or an ABA-approved Paralegal Certificate.
