Role  
10Pearls is seeking a business-oriented contracts professional to review commercial agreements, identify high-risk terms, and recommend practical solutions to protect 10Pearls interests. The role will focus primarily on US-governed agreements and work closely with business and sales teams to assess risks, recommend positions, and support efficient deal closure.

Responsibilities 
- Review, draft, and negotiate MSAs, SOWs, NDAs, software development agreements, SaaS and subscription agreements, DPAs, vendor agreements, partner agreements, and consulting contracts. 
- Assess and advise on key commercial terms, including limitation of liability, indemnities, warranties, intellectual property ownership, confidentiality, information security, data breach obligations, termination rights, and dispute resolution. 
- Provide practical guidance on US commercial contracting requirements and agreements governed by applicable US federal and state laws. 
- Partner with Sales, Delivery, Finance, HR, Procurement, and Leadership to support deal closure while managing legal and commercial risk. 
- Support contract reviews involving data privacy and information security requirements, including GDPR and applicable US privacy regulations. 
- Develop and maintain contract templates, clause libraries, negotiation playbooks, approval standards, and contract records. 
- Manage contract renewals, amendments, claims, disputes, and legal escalations, engaging external counsel where required. 
- Monitor relevant legal and regulatory developments affecting technology services and cross-border operations.

Requirement 
- LLB, JD, or equivalent law degree from a recognized institution. 
- 4-5 years of experience in commercial contracting, corporate legal practice, or an in-house legal role. 
- Demonstrated experience reviewing and negotiating contracts with US-based clients, vendors, or partners. 
- Strong working knowledge of US contract law and commercial contracting practices. 
- Sound understanding of technology contracts, intellectual property, data privacy, and information security provisions. 
- Excellent drafting, negotiation, analytical, and stakeholder management skills. 
- Ability to explain legal issues clearly and balance risk with business priorities. 
- Experience in technology, IT services, consulting, SaaS, or professional services. 
- Exposure to international contracts and cross-border transactions. 
- Familiarity with contract lifecycle management tools and legal operations processes. 
- Experience supporting distributed teams and US business operations.
