Key Responsibilities
- Prepare agendas, notices, and draft minutes for Board Meetings, Committee Meetings, and Shareholders' Meetings for review by the reporting manager.
- Coordinate and assist in conducting Board Meetings, Committee Meetings, and General Meetings.
- Prepare, review, and file statutory forms including DIR-12, AOC-4, MGT-7, DPT-3, KYC filings, and other routine regulatory filings.
- Liaise with the Ministry of Corporate Affairs (MCA) and other regulatory authorities for routine compliance matters.
- Maintain and update statutory registers and corporate records for allocated clients in a timely manner.
- Assist in preparing and maintaining compliance calendars, checklists, status trackers, and lists of open matters for clients.
- Ensure annual compliance activities and statutory filings are completed within prescribed timelines.
- Maintain executed original documents and corporate records in both physical and electronic formats.
- Ensure proper indexing, archiving, retrieval, and safe custody of client documents.
- Update master trackers and compliance dashboards upon completion of filings and compliance activities.
Stakeholder Management
- Communicate with clients, internal teams, regulators, and external vendors regarding compliance matters.
- Coordinate with administration teams for stamp duty payments, courier dispatches, notarization, and related activities.
- Support inter-departmental and cross-functional coordination as required.
- Visit and coordinate with ROC, RBI, MCA e-Governance Cell, PAN authorities, Stamp Duty Offices, and other regulatory bodies whenever required.
- Follow up on filings, approvals, compliance submissions, and regulatory correspondence.
Key Requirements
* Sound knowledge of the Companies Act, 2013 and RBI/FEMA regulations. * Working knowledge of MCA filings and secretarial compliances. * Proficiency in Microsoft Office applications. * Familiarity with statutory registers, board processes, and regulatory documentation.
