Legal Counsel Mergers & Acquisitions

Job Overview:

Weatherford is seeking an experienced Legal Counsel, Mergers & Acquisitions (M&A) to join the Team in downtown Houston, Texas.

Reporting to the Assistant General Counsel, Mergers & Acquisitions, the Legal Counsel will support Weatherford's global acquisition, divestiture, strategic investment, and integration activities.

The role will work directly with the Company’s lead M&A Attorney to help manage transactions from initial evaluation through post-closing integration. The successful candidate will assist with due diligence, transaction execution, regulatory coordination, post-closing integration, corporate governance matters, and project management across multiple jurisdictions.

This position provides the opportunity to gain hands-on experience across all phases of domestic and international transactions while working closely with senior business leaders, external counsel, and cross-functional stakeholders.

Responsibilities:

Transaction Support

- Support acquisitions, divestitures, minority investments, and other strategic transactions.
- Coordinate legal due diligence activities and assist in managing data rooms and diligence requests.
- Review, draft, and negotiate NDAs, letters of intent, purchase agreements, disclosure schedules, ancillary transaction documents, and closing deliverables.
- Coordinate with external counsel on transaction execution and regulatory requirements.
- Assist in preparing transaction summaries, risk assessments, and materials for executive leadership.

Regulatory and External Counsel Management

- Support merger control, antitrust, FDI, and other regulatory filing processes.
- Coordinate with external counsel across multiple jurisdictions.
- Track regulatory approvals, closing conditions, and critical transaction milestones.
- Help maintain transaction trackers and manage legal workstreams through signing and closing.

Post-Closing Integration

- Support legal integration activities following acquisitions and strategic investments.
- Assist with implementation of integration plans across legal, compliance, HR, finance, tax, treasury, and operational functions.

Joint Ventures and Strategic Investments

- Assist with formation and governance of joint ventures and strategic partnerships.
- Support drafting and negotiation of shareholder agreements, LLC agreements, governance documents, and related arrangements.
- Assist in monitoring governance obligations, reserved matters, reporting requirements, and funding commitments.

Qualifications & Experience Required:

- JD, LLB, or equivalent law degree.
- Licensed to practice law in at least one jurisdiction.
- Approximately 2-4 years of corporate, M&A, securities, or commercial legal experience.
- Strong drafting and project management skills.
- Experience managing multiple workstreams and competing priorities.
- Strong communication and stakeholder-management capabilities.

Qualifications & Experience Preferred:

- Experience at a major law firm or sophisticated in-house legal department.
- Exposure to mergers and acquisitions, corporate governance, and commercial transactions.
- Experience supporting cross-border matters.
- Energy / oilfield services industry experience.
