The Job
The Associate General Counsel, Healthcare will serve as legal counsel to SCAN’s care delivery organizations, including Healthcare in Action, myPlace Health, Welcome Health, Embrace, and other affiliated care delivery entities, while also providing healthcare regulatory and transactional support to SCAN Group and SCAN Health Plan. Reporting to the Deputy General Counsel, this role will function as the primary legal point of contact for assigned care delivery businesses, providing practical, business-oriented advice on operational, regulatory, contracting, governance, and strategic matters, and coordinating support from other members of the Legal Department as needed. The work is varied and complex, requiring a high degree of discretion, flexibility, and independent judgment, and is done with the highest level of ethics and integrity.
The candidate is an excellent communicator, an enthusiastic and curious learner, and can work autonomously on a variety of assignments and projects in a fast-paced, high-volume environment. The Associate General Counsel should possess a strong drive for excellence, attention to detail, an ability to adapt to change, and a “can do” positive attitude. Extensive experience advising medical groups, provider organizations, and other care delivery organization, together with strong healthcare regulatory and contracting expertise.
You Will
Serves as primary legal counsel and strategic advisor to SCAN’s care delivery organizations, including Healthcare in Action, myPlace Health, Welcome Health, Embrace, and other affiliated provider and care delivery entities. Acts as the principal legal point of contact for business leaders, providing practical advice on operational, regulatory, contracting, governance, and strategic matters, and coordinating with other members of the Legal Department as necessary to ensure appropriate legal support.
Provides legal and regulatory counsel regarding medical group, provider, and integrated care delivery operations, including physician and advanced practice clinician contracting, professional services arrangements, corporate practice of medicine, fee-splitting, provider compensation models, credentialing, delegation, risk-bearing and value-based care arrangements, licensure and scope-of-practice requirements, and other federal and state laws applicable to healthcare providers, medical groups, IPAs, PACE organizations, and risk-bearing entities.
Drafts, reviews, negotiates, and advises on a broad range of contracts, including provider, payer, value-based care, risk-sharing, pharmacy, PBM, vendor, professional services, and strategic partnership agreements.
Advises on federal and state healthcare laws and regulations on issues relating to managed care organizations and medical group operations, federal and state healthcare laws (e.g., Stark Law, Anti-Kickback Statute, HIPAA, licensing, scope of practice), PACE programs, Medicare, Medicaid, telehealth, etc.
Actively oversees and manages outside counsel, including setting case strategy, reviewing work product, and managing legal spend to ensure cost-effective, high-quality results.
Acts independently to provide well-informed and timely legal advice on a variety of complex and sensitive healthcare matters.
Monitors and researches market and industry trends of interest to the organization in connection with its business activities. Anticipate changes impacting operations, notifies management and recommend preparatory actions.
Works collaboratively with a broad range of stakeholders throughout the organization to develop and maintain strong relationships with SCAN business units and affiliates.

Your Qualifications
Juris Doctor from a top-tier, ABA-accredited law school. Active membership in good standing with the California State Bar, or eligibility to practice as Registered In-House Counsel (RIHC) required.
Minimum 8 years of relevant legal experience at a top-tier law firm. Experience may be a combination of top-tier firm and in-house at an established legal department.
Significant experience advising healthcare providers, medical groups, integrated care delivery organizations, risk-bearing entities, and/or managed care organizations is required.
Strong working knowledge of physician contracting, professional services arrangements, corporate practice of medicine, fee-splitting, provider compensation models, scope-of-practice requirements, licensure, delegation, and other laws governing healthcare providers and care delivery organizations is required.
Strong knowledge of federal and state healthcare regulatory requirements, including healthcare fraud and abuse laws, and related healthcare compliance frameworks is required.
Experience negotiating and advising on provider, payer, health system, value-based care, risk-sharing, management services, and other complex healthcare agreements is preferred.
Experience serving as counsel to a medical group, provider organization, IPA, ACO, PACE organization, FQHC, health system, or other care delivery entities are highly desirable.
Demonstrated ability to provide practical legal advice directly to executive leadership and business stakeholders on complex regulatory, operational, and strategic matters.
Strong drafting, negotiation, analytical, project management, and relationship management skills required.
