Description
We are looking for an experienced and adaptable legally trained professional to advise on, draft and negotiate sophisticated agreements across multiple sectors, with a particular focus on technology. Based in Montreal, this role is a key player in enabling business deals with suppliers to proceed in a timely manner while advising and/or negotiating contractual terms for CAE.
Responsibilities:
- Identify legal and contractual solutions to enable procurement and business teams to conclude agreements and achieve operational, technical and cost-savings objectives.
- Draft and negotiate different types of contracts related to all CAE business units such as but not limited to Software as a Service (SAAS) agreement, license agreements, agreements for the acquisition of goods & services, memoranda of agreements, letters of intent and partnership agreements.
- Recommend legal and contractual risk-mitigation strategies addressing indemnification, liability, warranties and other commercial and business terms.
- Advise procurement teams and business units on contractual matters related to supply arrangements and joint collaborations, with a focus on intellectual property and technology licensing and related agreements.
Minimum Qualifications
- University degree in law or relevant equivalent experience
- Five to ten (5-10) years of experience working in a law firm or a corporation, including experience in the negotiation of licensing agreements, intellectual property, commercial transactions and drafting of commercial agreements.
- Flexible in contract negotiations and able to propose legal solutions that enable procurement and business teams to conclude agreements.
- Ability to draft and adapt contractual language creatively in response to business needs and requirements as communicated by stakeholders with limited contracting experience.
- Agile in the use of digital tools such as MS Office and SAP Ariba.
- Bilingual (French and English), both orally and in writing.
