What You Will Do – Primary Responsibilities
Mergers & Acquisitions
- Conduct legal research, investigate facts, and prepare documentation to support M&A, Compliance, and Operations teams.
- Analyze legal sources such as statutes, legal codes, and articles to support document preparation and legal decision-making.
Asset Optimization & Real Estate
- Review and analyze title commitments, surveys, and related documents to ensure accuracy and compliance.
- Draft and review legal language for real estate transaction documents, including leases, purchase and sale agreements, and surface rights agreements.
- Coordinate real estate and mortgage closings, including pre- and post-closing activities.
- Identify and verify legal property owners or heirs in cases of deceased ownership.
Legal Document Management
- Prepare or assist in the preparation of contracts, transfer documents, and other legal instruments.
- Review and organize legal documents such as ground leases, tenant leases, credit assignment agreements, and RFPs.
- Ensure fully executed documents are submitted for recording and properly filed.
Stakeholder Coordination
- Liaise with third-party vendors, sellers, ground lessors, tenants, and outside counsel to resolve legal matters and obtain necessary documentation.
- Visit government offices and engage with authorities to complete legal tasks as required.
- Support the property department in lease negotiations, dispute resolution, and site-related legal issues.
Administrative & Reporting Duties
- Maintain and update legal trackers, checklists, and reports.
- Coordinate the registration of lease agreements and related documents.
- Ensure acquisition-related expenses are accurately processed and coded.
- Prepare letters, memos, and reports for internal and external use.
What You’ll Need – Qualifications & Requirements
- Associate degree or equivalent experience required; Bachelor’s degree preferred.
- Minimum of 2 years of paralegal experience, with demonstrated ability to read, interpret, and prepare legal documents.
- Experience in title and survey review, real estate transactions, litigation, collections, or bankruptcy is highly desirable.
- Certified Paralegal and/or Legal Assistant Certification preferred.
- Strong organizational, analytical, and communication skills.
- Proficiency in Microsoft Office Suite (Word, Excel, Outlook).
