In our optimized CIP Platform, CIP Fund Solutions – platform delivery company providing complex fund management and investment services – is currently looking for an Paralegal professional, at senior associate level to join our office in Melbourne, Australia.
Team
The legal team is deeply involved in all matters concerning project development, construction and financing, including corporate governance for CIP group companies and development vehicles.
Role
The Paralegal is an integral part of the CIP FS Australia Legal team, working across key projects in the Copenhagen Infrastructure Partners ( CIP ) project portfolio, and reports to the Director, Legal. The role supports all Australian legal operations, corporate governance and contract management requirements for CIP FS, project special purpose vehicles ( SPVs ) and the CIP funds. The role involves close interaction with Company Directors, Project CEOs and project teams, particularly in managing company secretariat functions for CIP’s SPVs and Steering Committee / Board meetings.
Working under the supervision of senior lawyers, the Paralegal professional will support the implementation of a dedicated legal, compliance and company secretariat function for CIP FS Australia and CIP’s project pipeline.
The role spans projects and renewable technologies (offshore wind, onshore wind, solar, batteries and PtX/hydrogen) across the relevant CIP Flagship and Energy Transition Funds. The Paralegal professional will build confidence in company administration, stakeholder management and managing multiple priorities, interfacing with CIP Investment Teams, Project CEOs and CIP FS leadership, while working closely with a highly experienced legal team in an international, global environment. This role offers the chance to develop a solid understanding of commercial and contractual matters, corporate governance, contract negotiation and execution, and renewable energy development while promoting effective governance across an expanding project pipeline.
Responsibilities will consist of but are not limited to:
Contracts
With appropriate supervision and guidance: review, amend and support the negotiation of contracts entered into in the ordinary course of a project’s lifecycle, including Professional Services Agreements, Minor Works
Agreements, Services Contracts, NDAs and MOUs
·Assist in the interpretation and administration of existing contracts (e.g. Shareholder Agreements, JV Agreements)
· Provide ad hoc support to the legal team on contract review and execution processes
· Coordinate CIP’s ‘Weekly Signing Sessions’ and manage the execution and distribution of signed contracts with external and internal stakeholders
Company / Corporate legal matters
· Support the administration of company secretarial work and corporate documentation with CIP’s external company secretariat provider.
· Support project teams in understanding and interpreting corporate obligations, delegations and powers of attorney
· Support CIP, CIP FS and external counsel in the structuring of Australian projects and incorporation of special purpose vehicles / transaction structures
· Support the administration of legal documents required for cash calls / equity raising
· Draft board agendas, meeting minutes and powers of attorney, and manage related templates and databases
Complianc e
Assist in drafting and implementing CIP policies, support HSE compliance, and improve overall policy compliance and regulatory readiness across employees and SPVs
Legal Processes & Procedures
· Support the CIP FS Legal Team in the creation and implementation of legal processes, procedures, templates and internal service agreements.
· Support the preparation of legal training on areas of law relevant to CIP and the projects.
· Manage the database of standard template contracts, drafting amendments and continually improving usability across the CIP Australia development pipeline (e.g. consultancy agreements, NDAs, MOUs).
Regulatory
· Support the implementation of an internal FIRB Register, lodge FIRB notifications with the ATO where required
· Provide ad hoc support on government affairs work in cooperation with the CIP Head of Public Affairs, such as coordinating regulatory submissions or competitive tender returns
You
We are seeking a qualified legal professional with an LLB (or equivalent) and 2 to 5 years of legal experience. Admission to practice law is preferred. Exposure to the renewable energy sector and experience supporting organizations with large portfolios of Special Purpose Vehicles (SPVs) is advantageous.
