We are currently seeking an experienced legal professional to join our Bangalore Legal team in the role of Legal Counsel.

Purpose of the role

The Legal Counsel will support the Corporate and Institutional Banking Banking Legal Bangalore team and the broader Corporate and Institutional Banking business vertical on corporate lending transactions. The role will identify and mitigate legal risks, ensure timely escalation of material matters and support the successful completion of lending transactions within the required timeframes.

The role will provide legal support across the full documentation lifecycle for bilateral uncommitted and committed facilities, syndicated facilities, guarantees, security documents, ancillary documents and corporate authorisations. The role holder will work closely with legal colleagues in other locations and engage directly with business stakeholders and clients across multiple geographies, including on cross-border lending matters.

In this role, you will

- Draft and review term sheets, facility agreements and related lending documentation, including bilateral uncommitted and committed facilities, syndicated facilities, guarantees, security documents and ancillary documents.
- Review facility agreements for policy requirements, approved terms and key commercial provisions, negotiate with clients and counterparties, and ensure alignment with HSBC policy, credit approvals, market practice and applicable regulatory requirements.
- Review, negotiate and settle legal opinions, deeds of release, guarantee documents, security documents, corporate authorisations, commitment letters, fee letters and other documents supporting lending transactions.
- Identify, explain and advise on the commercial, legal, credit, operational and regulatory risks associated with bilateral and syndicated lending transactions, including the preparation of internal requests for approval of policy exceptions.
- Support business stakeholders, clients and legal colleagues by interpreting legal advice, explaining its practical impact and advising on appropriate risk mitigation and escalation.
- Participate in all-party calls and negotiations on legal, policy and key commercial matters, working closely with business stakeholders and legal colleagues in other locations to deliver transactions within agreed timeframes.
- Conduct legal due diligence on loan documentation for Wholesale Portfolio Management in support of collateralised loan obligation and other distribution models, while maintaining the required quality, controls and delivery standards.
- Contribute to team objectives, follow applicable processes and statutory and regulatory obligations, complete required training and development, address areas of concern with line management and maintain a continuous learning mindset.

To be successful you will

- Hold a legal qualification and have more than eight years of relevant experience in banking, financial services, private practice or a comparable legal environment.
- Have substantial experience drafting, reviewing and negotiating complex credit and lending agreements, loan documentation, security arrangements and ancillary transaction documents.
- Have experience with bilateral uncommitted and committed facilities, syndicated facility agreements, guarantees, guarantee confirmation letters, mortgages, hypothecation documents, pledge documents, term-sheet mapping, corporate authorisations, commitment letters and fee letters.
- Demonstrate comprehensive knowledge of credit and lending laws, regulations, market practices and documentation standards. Experience with Loan Market Association templates would be beneficial.
- Be able to provide clear legal advice on credit transactions, risk management, regulatory compliance and cross-border lending matters, including applicable anti-money laundering and customer due diligence requirements.
- Have excellent written and spoken communication skills, strong attention to detail and the ability to influence and negotiate effectively with senior stakeholders, clients, counterparties and legal colleagues.
- Demonstrate sound judgement, ownership, prioritisation and organisation skills, with the ability to manage competing demands, ambiguity, pressure and tight deadlines.
- Be change-oriented, open to feedback, committed to continuous professional development and able to work collaboratively with highly skilled teams across a complex international organisation.
