About the Position

Reporting to the Chief Legal Officer, the VP Legal, Corporate & Compliance is a key leader, trusted business partner, and pragmatic builder who will lead and scale the corporate legal function for a mid-sized, high growth enterprise SaaS company. The role offers a hands-on leadership opportunity at the intersection of law, business, and technology.

The successful candidate brings a builder mentality and pragmatic, “can do” approach to identifying opportunities, building and automating processes, and redesigning programs to scale. They will co-own outcomes with business stakeholders while using technology and AI to build scalable legal programs. They will lead the corporate legal team with an ownership mentality to achieve desired outcomes that protect the company while accelerating growth.

Key Responsibilities and Capabilities

Corporate Legal Team Leadership and Business Partnership

• Hire, develop, and scale a corporate legal team under the CLO’s direction, fostering a high-performance, collaborative, and growth-oriented culture

• Drive corporate governance and related processes for the U.S. operating company and global legal entities, including corporate policies and record-keeping

• Own and operationalize corporate compliance programs and related KPIs, including governance, ethics & compliance, product compliance, and personnel conduct policies

• Manage labor & employment matters and partner closely with HR on employment policies, guidelines, investigations, and risk mitigation

• Oversee IP protection and enforcement, including external counsel for patent programs, trademarks, and trade secrets, and regulatory counsel

• Take on additional responsibilities assigned by the CLO, including support for strategic corporate initiatives

• Serve as a trusted strategic partner and co-owner of outcomes, collaborating with Product, Engineering, Finance, HR, IT, and other stakeholders to align legal guidance with business objectives

• Translate legal and compliance requirements into practical, business-friendly solutions that protect Delinea’s interests, reduce risk, and enhance value

• Develop and deliver training on corporate governance, legal compliance, and risk management to build awareness and accountability

Process Building, Technology & AI

• Identify inefficiencies and build, redesign, and automate processes across corporate legal programs, using technology and AI to scale support and reduce manual work

• Develop scalable processes, templates, and self-service resources that empower the business to move faster while staying compliant

• Evaluate and drive legal technology use, change management, adoption and training to achieve desired outcomes for corporate legal

• Establish KPIs and use data-driven metrics to measure program effectiveness, demonstrate impact, and continuously improve areas within your remit

Compliance & Risk Management

• Counsel on and oversee compliance with regulatory requirements, including anti-bribery and anti-corruption/FCPA, export compliance, data protection, records retention, and related areas

• Design, develop, and scale global compliance policies and processes optimized for growth

• Identify, manage, and mitigate legal and regulatory risks consistent with the company’s business philosophy, strategy, and compliance requirements

• Support dispute resolution and litigation management, including legal holds, investigations, e-discovery, and related risk management

Skills and Requirements

• Juris Doctorate from an accredited law school; active member of at least one U.S. state bar

• Twelve to fifteen plus (12–15+) years of progressive legal experience, including relevant in-house experience at a technology, software, or SaaS company

• Demonstrated experience building, leading and developing a corporate legal team, managing personnel, and driving successful team execution against program objectives

• Deep expertise in corporate governance, compliance, labor & employment, and intellectual property

• Proven track record of building, redesigning, and automating legal processes and programs from the ground up, including implementing legal technology solutions

• Strong working knowledge of data privacy and cybersecurity regulatory frameworks (GDPR, CCPA, and related regimes)

• Experience supporting M&A transactions, corporate filings, and board-level governance activities

• Strategic thinker with the ability to evaluate risks and make sound judgments in the face of ambiguity and uncertainty

• Business-friendly and pragmatic problem-solver who reduces risk while enabling growth in a highly collaborative manner working with internal stakeholders

• Driven self-starter with a strong ownership mentality and a track record of independently driving work to completion

• Excellent written and verbal communication skills; ability to present to executive audiences

• High degree of integrity, ethics, and professionalism

Qualifications

• Experience at a national law firm prior to going in-house

• Public company and SEC reporting experience

• Experience leading enterprise compliance programs, developing AI governance frameworks, and implementing emerging legal tech tools in the enterprise SaaS sector

• Experience in the cybersecurity, identity security, and/or enterprise SaaS technology sector

• Experience supporting ESG/sustainability programs

• Experience managing outside counsel relationships and budgets efficiently

• Familiarity with privileged access management (PAM) or adjacent identity security concepts preferred

Compensation

Estimated Base Salary $280K – $320K • Offers Equity • Offers Bonus
