Position Summary
Applied Materials is seeking an experienced and business-oriented Senior Commercial Transactions Counsel to provide legal support for the company's global procurement, engineering, facilities, technology, and business operations functions. This role will serve as a trusted legal advisor to business stakeholders, leading the drafting, review, negotiation, and execution of a broad range of commercial contracts while balancing legal risk, operational requirements, and business objectives.
The ideal candidate will be a seasoned commercial transactions attorney with substantial post-qualification experience, including in-house commercial contracting experience at a multinational corporation and preferably prior experience in a leading law firm.
The candidate should have strong attention to details, be responsible and accountable, creative and pro-active in servicing their internal clients.
The position requires strong commercial judgment, contract negotiation skills, stakeholder management capabilities, and the ability to independently manage high volumes of complex transactions in a fast-paced global environment.
Key Responsibilities
Commercial Transactions & Contracting
Draft, review, negotiate, and advise on a broad range of commercial agreements, including:
Supply and procurement agreements
Technology and software agreements
Professional services and consulting agreements
Facilities and workplace services agreements
Equipment acquisition and maintenance agreements
Evaluation, pilot and proof-of-concept agreements
Non-disclosure agreements
Strategic sourcing and indirect procurement agreements
SaaS, cloud, AI and digital transformation agreements
Partner with Procurement & Sourcing, Engineering, Operations, Facilities, EHS, HR, Finance, IT, and other Applied business groups to structure and negotiate commercial transactions aligned with business objectives.
Provide practical legal guidance on risk allocation, liability management, , data protection, compliance, insurance, warranty, indemnity, service levels, intellectual property and dispute resolution provisions.
Work with internal stakeholders to support supplier relationship management and strategic supplier initiatives.
Contracting Process Optimization & Transformation
Support implementation, enhancement and optimization of enterprise contracting tools, workflows, clause libraries, playbooks and legal technology solutions. This includes participation in contracting platform initiatives, implementations and clause playbook development projects.
Contribute to Applied’s contracting process improvements that increase efficiency, consistency and self-service capabilities while maintaining appropriate legal controls.
Support development and maintenance of standard contract templates, negotiation guidance and training materials.
NDA Program Management
Provide legal oversight and support for NDA review and negotiations, including complex or escalated matters.
Act as a senior escalation point for business stakeholders and legal operations partners regarding NDA-related issues and process questions.
Advise on specialized confidentiality arrangements.
Stakeholder Engagement & Training
Develop strong working relationships with internal clients and become a trusted legal advisor.
Deliver contract and compliance training programs to business stakeholders.
Promote legal awareness and adoption of contracting best practices across the organization.
Qualifications:
Required:
LL.B. / LL.M. degree from a premier university.
Significant post-qualification relevant legal experience ( 8+ years ).
Significant experience as an in-house commercial transactions attorney supporting multinational businesses or similar rule at a leading lawfirm.
Extensive experience drafting and negotiating complex commercial agreements.
Strong understanding of contract law, procurement transactions, technology agreements and commercial risk assessment & mitigation.
Demonstrated ability to independently lead negotiations with suppliers, consultants, service providers and strategic business partners.
Excellent written and verbal communication skills.
