Job Title: Compliance Officer Location: Lower Parel, Mumbai
Position Overview Artha Group is a leading multi-fund venture capital platform. Compliance at this firm is not a support function. It is a cornerstone of how we operate, how we grow, and how we earn and maintain the trust of our investors, our regulators, and our partners. The Compliance Officer in Mumbai owns that cornerstone. You will be the firm's primary regulatory authority across all Mumbai-based entities, with scope extending to GIFT City operations as part of a unified compliance mandate. This role demands someone who is meticulous without being rigid, authoritative without being bureaucratic, and deeply comfortable operating at the intersection of law, finance, and institutional governance.
Key Responsibilities Regulatory Compliance - SEBI, RBI, MCA, and IFSCA
- Own end-to-end compliance with all applicable SEBI regulations governing Alternative Investment Funds, fund management, PPM updates, annual compliance audit reports, valuation disclosures, and investor reporting obligations.
- Ensure full adherence to RBI and FEMA requirements including foreign investment reporting, Form 15CA/CB, Form 3CEB, ECB compliances, and all cross-border transaction obligations.
- Oversee all MCA and ROC obligations including statutory filings, board resolutions, and secretarial compliance under the Companies Act across all group entities.
Obtain confirmation of timely and accurate completion of all statutory filings across entities, including IT returns, TDS, and GST, as part of monthly governance activities, and escalate any gaps or omissions without exception.
- Own the compliance calendar as a regulatory obligation. Every filing, every deadline, and every disclosure is tracked, prepared, and submitted on time.
- Monitor regulatory developments across SEBI, RBI, MCA, IFSCA, and other applicable bodies, and brief internal stakeholders on implications and required actions.
- Ensure all IFSCA compliance requirements pertaining to GIFT City operations are met with the same rigour and consistency as Mumbai obligations.
- Serve as the firm's primary point of contact with all regulatory authorities, ensuring every interaction is handled with professionalism and precision.

Fund and AIF Compliance
- Ensure full regulatory compliance across Category I, II and III AIFs, covering SEBI AIF Regulations, AML, KYC, FATCA, and CRS protocols without exception.
- Oversee compliance across the complete investment lifecycle including due diligence, deal structuring, fund investments, and exits, ensuring every stage is executed within the applicable regulatory framework.
- Ensure that all compliance requirements pertaining to new fund entity structures are addressed comprehensively, from formation through ongoing statutory obligations.
- Own all compliance pertaining to investor onboarding, investor reporting, and fund disclosures. Every process must meet the required regulatory standard before it is finalised or communicated externally.
- Maintain complete, accurate, and audit-ready compliance documentation across every investment, fund structure, and regulatory interaction.

Corporate and Establishment Compliance
- Oversee all statutory obligations for Mumbai-based entities including Shops and Establishments, professional tax, labour law filings, and associated requirements.
- Ensure timely payment of all statutory dues across entities. Penalties, notices, or fines are to be identified early, escalated immediately, and closed without delay.
- Coordinate regulatory audits, inspections, and responses in consultation with external advisors, and ensure the firm is always prepared, never reactive.
- Conduct periodic reviews of internal controls and work with external auditors to ensure documentation across all entities and fund structures is thorough and defensible.

Qualifications
- Company Secretary (CS) qualification is essential. CA qualification is equally considered.
- 8 to 10 years of experience in compliance within a financial services environment, with strong exposure to AIF compliance, fund management, investment-related regulatory work, or mutual funds.
- Deep working knowledge of SEBI AIF Regulations, FEMA, RBI guidelines, PMLA, GST, TDS, ROC filings, and Companies Act compliance.
- Familiarity with IFSCA regulations and GIFT City fund structures is a meaningful advantage.
- Exceptional attention to detail. You read everything, verify everything, and hold the line on standards regardless of the pressure to move fast.
- Strong written and verbal communication. You can distil a complex regulatory matter into a clear brief for leadership and correspond with regulatory authorities with authority and precision.
- Someone who understands that while compliance does not operate in a silo, it cannot be compromised by one either.

Compensation
- Fixed Annual Salary: Rs. 32,00,000, paid monthly
- Fixed Retention Bonus: Rs. 3,00,000, paid at the end of each year
- ESOP Eligibility: Rs. 2,50,000, vesting as per policy
- Total Annual Compensation: Rs. 37,50,000
