Meet the Team
The Legal Department provides legal advice and guidance globally across all aspects of Millennium’s business and operations. The team manages the legal aspects of firm initiatives and a broad range of legally intensive projects, partnering across the organization and overseeing relationships with external legal advisors worldwide. As an Associate General Counsel, you will support and lead legal workstreams across the firm’s equity capital markets franchise and related investment activities.
What You'll Do
• Advise on equity capital markets and related investment transactions from origination through closing, across a broad range of products and transaction structures
• Independently manage end-to-end deal execution, including structuring, negotiation, documentation, and closing / settlement
• Partner directly with senior legal colleagues, investment professionals, Risk, Compliance, Operations, Tax, and Accounting to structure and execute investment transactions
• Advise on federal securities law matters, and support the firm on investor-side SEC reporting, beneficial ownership, and corporate governance matters, including obligations under Sections 13 and 16
• Manage relationships with external counsel, counterparties, and other internal and external transaction stakeholders
What You Bring
• At least five years of experience in a corporate or capital markets practice at a major U.S. law firm, or within the legal department of an investment adviser or investment bank managing ECM activities
• Deep experience across capital markets and related transactions, including PIPEs, SPACs, convertible and structured equity and debt offerings, crossover investments, registered offerings, Rule 144A/Regulation S placements, and related equity-linked products
• Strong command of the relevant provisions of the Securities Act and the Securities Exchange Act, as well as an understanding of the securities regulations applicable to hedge funds, including the Investment Advisers Act and the Investment Company Act
• Experience with venture and growth equity investments, debt capital markets, and joint ventures is a plus
• Sound understanding of legal considerations related to material nonpublic information, conflicts of interest, and fiduciary duties
• Strategic judgment and the ability to balance legal risk with business objectives
• Outstanding written, verbal, and interpersonal communication skills, with the confidence to engage stakeholders at all levels
• Proactive, organized, and efficient approach to managing multiple priorities in a fast-paced, collaborative environment
Salary Range
Millennium offers a total compensation package which includes a base salary, discretionary performance bonus, and comprehensive benefits. The estimated base salary range for this position is $160,000 to $200,000, which is specific to New York City and may change in the future. When finalizing an offer, we take into consideration an individual’s experience level and the qualifications they bring to the role to formulate a competitive total compensation package.
