ABOUT THE TEAM

Anduril's Legal Team seeks a Legal Counsel, Maritime to support its Maritime Division on a transformational shipyard program. This role is located in Washington D.C. . This is a unique hybrid role requiring both government contracts expertise and corporate legal experience. Anduril's Maritime Division has recently been awarded a major multi-billion dollar shipyard contract that requires standing up a new company structure, managing complex government contracting relationships, and coordinating large-scale financing and real estate transactions.

ABOUT THE JOB

Anduril has just secured a landmark shipyard contract. This is a significant and complex program, and we need a lawyer who can operate at the intersection of government contracts law and corporate transactions.

In this role, you will provide legal counsel across four critical lines of effort: (1) government contracting; (2) corporate formation and governance; (3) financing and credit documentation; and (4) entity structure. This role demands someone who can move fluidly between negotiating FAR/DFARS flow-downs in the morning and drafting company governance documents in the afternoon. The Legal Counsel, Maritime will be expected to take ownership of significant, material projects with major impact on the Maritime Division and Anduril's future. This is not a pure government contracts role, nor a pure corporate role, it requires the rare combination of both skill sets and the judgment to know when each applies.

WHAT YOU’LL DO

Government Contracts Work

- Execute complex government contracts, including FAR Part 12 and FAR Part 15 contracts

- Manage compliance and risk across multiple CLIN structures and document accepted risks

- Build relationships with procurement office representatives at Government agencies and prime contractor legal/contracts teams

Corporate & Transactional Work

- Support corporate formation and governance

- Negotiate IP license agreements and intercompany Services Agreements

- Coordinate financing transactions

Cross-Functional Leadership

- Serve as a key legal advisor on Anduril's most strategic Maritime transaction

- Coordinate with external counsel on specialized matters while maintaining primary ownership

REQUIRED QUALIFICATIONS

- 5+ years of combined experience in government contracts law and corporate/transactional law (more senior lawyers are encouraged to apply; the position may be adjusted based on experience)

- Strong government contracts foundation: Deep understanding of FAR/DFARS, contract vehicles, UCAs and definitization, FAR Part 12 vs. Part 15, flow-down requirements, and data rights

- Corporate and transactional experience: Demonstrated experience with entity formation, operating agreements, equity structures, IP licensing, or M&A transactions

- Experience negotiating complex agreements with sophisticated counterparties (government agencies, prime contractors, lenders, or corporate partners)

- Strong project management skills: Ability to own multiple parallel workstreams, manage interdependencies, and drive to closure on compressed timelines

- Licensed to practice law in D.C. (or willing to obtain admission)

PREFERRED QUALIFICATIONS

- In-house experience at a shipbuilder, particularly involving large-scale programs, joint ventures, or corporate restructurings

- Maritime, shipbuilding, or Jones Act experience: Familiarity with the unique legal and regulatory environment of U.S. maritime and shipbuilding industries is a strong plus but not required

- Experience with complex financing transactions, credit agreements, or real estate/lease transactions

- An entrepreneurial mindset: Comfort with ambiguity, ability to build processes from scratch, and excitement about working on novel legal structures

US Salary Range $220,000 — $292,000 USD
The salary range for this role is an estimate based on a wide range of compensation factors, inclusive of base salary only. Actual salary offer may vary based on (but not limited to) work experience, education and/or training, critical skills, and/or business considerations.
