Your Impact:

- Leads the group-wide enterprise internal control, corporate governance, and risk management architecture across all group operating and holding entities. Functions as the Project Director for Internal Control & IPO Readiness, orchestrating compliance enhancements to meet Securities and Exchange Commission (SEC) and Stock Exchange (SET/MAI) listing standards. Reports directly to executive leadership and the Audit Committee while directing outsourced/internal audit engagements to safeguard enterprise assets.

Your day-to-day responsibilities:

Internal Control Architecture & IPO Readiness Leadership

- Design, institutionalize, and monitor enterprise-wide internal control frameworks based on COSO 2013 standards and SEC/SET public company requirements across all group subsidiaries and operational workflows.
- Establish, harmonize, and enforce corporate Standard Operating Procedures (SOPs), Delegation of Authority (DOA) matrices, and Segregation of Duties (SOD) rules across all ERP modules and transactional functions.
- Conduct comprehensive gap assessments against IPO listing prerequisites; develop, track, and enforce corrective remediation roadmaps across department heads to close control deficiencies prior to public filing.

Internal Audit (IA) Project Management & Liaison

- Direct and oversee third-party outsourced Internal Audit firms and internal review teams, establishing risk-based annual audit scopes, reviewing audit findings, and arbitrating management responses.
- Champion corrective remediation plans across business units (Sales, Procurement, HR, IT, Accounting, Treasury), holding process owners accountable to eradicate material weaknesses and significant deficiencies.
- Lead regular follow-up reviews to verify that internal control recommendations are effectively operationalized.

Enterprise Risk Management (ERM) & Fraud Prevention

- Develop and maintain the Enterprise Risk Management (ERM) framework, establishing risk registers covering strategic, operational, financial, legal, and IT General Control (ITGC) risks.
- Implement proactive anti-fraud protocols, conflict-of-interest monitoring mechanisms, and oversee independent whistleblowing investigation procedures.
- Monitor operational and IT segregation of duties (SOD) across business applications to safeguard enterprise integrity.

Audit Committee & Board Reporting

- Formulate and present quarterly Internal Control and Risk Assessment dashboards directly to the Audit Committee, CEO, and Board of Directors.
- Serve as the principal internal control and governance advisor during corporate restructuring, financial advisor (FA) reviews, and the drafting of SEC registration statements (Filing / Form 56-1 One Report).

Your profile:

- Bachelor’s or Master’s degree in Accounting, Auditing, Finance, or Business Administration.
- Mandatory elite professional certification: Certified Internal Auditor (CIA), Certified Public Accountant (CPA), or Certified Information Systems Auditor (CISA).
- Minimum 10–15+ years of extensive experience in Internal Control, Internal Audit, Enterprise Risk Management, or Governance Advisory, including leadership experience in Big 4 Risk Advisory or SET-listed public corporations.
- Proven track record leading an end-to-end Internal Control IPO Readiness project through successful SEC/SET listing approval, interfacing directly with external IA firms and Financial Advisors (FA).
- Executive presence with the maturity, gravitas, and high emotional intelligence required to interface with, influence, and challenge C-level executives and the Board of Directors.
- Comprehensive understanding of IT General Controls (ITGC), cyber/data governance, and automated controls within enterprise ERP systems.
- Flawless bilingual communication, written executive reporting, and presentation skills in English and Thai.
