Elucid is a rapidly growing, Boston-based medical technology company whose AI-enabled imaging software gives clinicians a clearer picture of cardiovascular disease, leading to better patient outcomes and lower healthcare costs. Our mission is to predict and personalize the prevention of heart attacks and strokes
We're expanding our legal team with a new Corporate Counsel role focused primarily on commercial, contracts, clinical research, and privacy work. Reporting to our Head of Legal, you'll handle the agreements and compliance programs that bring our technology to health systems, power our clinical research, and protect patient data.
You'll be a hands-on advisor to teams across the company, spotting risks, and helping people make sound decisions quickly. If you like variety, enjoy being close to the business, and want your work to connect directly to patient care, this role was built for you.
What You'll Do:
- Draft and negotiate commercial agreements, including health system, reseller, and vendor contracts, NDAs and SaaS / software licenses.
- Serve as the go-to legal partner for sales, business development, and operations on contract terms, risk, and deal structure.
- Lead US and international clinical trial, research, and site agreements with our clinical and medical teams.
- Structure data use, licensing, and business associate agreements that protect Elucid's access to imaging and clinical data.
- Advise on HIPAA, U.S. state privacy laws, and international requirements, and support privacy assessments, data mapping, and incident response.
- Guide healthcare compliance, including Anti-Kickback, Stark, and Sunshine Act matters, HCP interactions, and promotional review.
- Partner with Regulatory, Quality, and Security on matters involving FDA requirements, ISO 13485 and ISO 27001 obligations, and audit readiness.
- Build and refine contract templates, playbooks, approval workflows, and a contract management process that scales with the business.
- Stay ahead of developments in healthcare, privacy, AI, and medical device law, and translate them into practical guidance for the business.
Education and Experience:
- 4 to 5 years of in-house legal experience, strongly preferred at a medtech, digital health, or life sciences company. Prior law firm or software experience is a plus.
- JD from an ABA-accredited law school
- Admission to a state bar in good standing, MA preferred
- A track record of drafting and negotiating commercial contracts, ideally SaaS, software licensing, or medical technology agreements
- Experience with clinical trial agreements, research collaborations, and data use agreements
- Working knowledge of HIPAA and U.S. state privacy laws. Familiarity with GDPR and other international privacy frameworks is a plus.
- Familiarity with healthcare compliance and the regulated medical device environment preferred.
- Strong judgment and the ability to balance legal risk with business priorities in a fast-paced, growing company.
- Clear, plain-English communication. You can explain a complex legal issue to a non-lawyer in a few sentences.
- Highly organized and self-directed, comfortable managing a high volume of matters and prioritizing well.
- Collaborative, approachable, and service-oriented, with a genuine interest in helping the business succeed.
