Legal Counsel
This position reports directly to U.S.VETS President & CEO and the Chair of the Board of Directors. Position shall perform any and all work necessary for the provision of General Counsel services to U.S.VETS and shall be primarily responsible for overseeing and identifying the legal issues in all departments as well as corporate governance and business policy.

Responsibilities
- Serves as key lawyer/legal advisor on all major business transactions directly advising U.S.VETS’ President & CEO, Executive staff, and Board of Directors in place of outside lawyers as needed
- Oversee the selection, retention, management, and evaluation of all outside counsel
- Work closely with the COO, CFO, the Vice Presidents and each of their departments
- Advise on and implement legal best practices especially in regard to non-profit organizations
- Provide senior level management with sound legal advice on company strategies and their implementation
- Maintain familiarity with regulatory and sustainability matters, including new laws and regulations affecting the organization and monitoring pending and current legislation and case law as appropriate
- Prepare and/or review and provide legal guidance/approval on legal documents such as contracts, agreements, leases, real estate transactions, etc.
- Direct involvement in complex business transactions from the legal perspective, assisting with negotiating critical contracts as needed
- Provide legal guidance and perspective on employee relations issues, compensation, and Human Resources policies and procedures
- Review advertising and marketing materials to ensure compliance with legal requirements
- Advise on pending and potential litigation as requested
- Assist with major court cases filed against or on behalf of Client, working with the appropriate executives and outside counsel to define a strategic defense and settlements of disputes where warranted
- Attendance at Board of Directors and Board subcommittee meetings unless excused by President & CEO or his designee
- Be available for telephone and email consultation with staff as needed on legal matters and maintain office hours as requested by the President & CEO

Qualifications
Requirements
- Juris Doctorate from an accredited law school
- Minimum of 5 years of legal experience as a practicing attorney
- Maintain license, membership, and good standing with the state bar of California
- Insight on a wide range of legal topics gained through previous corporate clients or in-house experiences
- Strong oral and written communication skills.
- Ability to work independently and within a team.
- Computer proficient in Microsoft Office and Internet.
