Job Summary:
NSI-MI Technologies is seeking an experienced Senior Contracts Manager to lead the company's customer contracting and subcontracting activities across U.S. Government, defense prime contractor, commercial, and international customers.
The Senior Contracts Manager will serve as the primary business partner for contract formation, terms and conditions, negotiations, contract administration, compliance, and contractual risk management. This position works closely with Sales, Program Management, Finance, Procurement, Operations, Legal, and other business functions to develop practical contracting strategies that protect NSI-MI while enabling timely business execution.
The successful candidate must be able to identify contractual risk while also developing commercially reasonable solutions, negotiating effective fallback positions, and distinguishing matters that can be resolved through sound business judgment from those requiring leadership or legal escalation.
Key Responsibilities:
- Lead contract activities from proposal and pre-award review through negotiation, award, administration, modification, and closeout.
- Draft, review, analyze, and negotiate contracts, purchase orders, subcontracts, master and overriding agreements, letter contracts, nondisclosure agreements, teaming agreements, and other commercial agreements.
- Lead negotiations of complex terms and conditions with U.S. Government customers, major aerospace and defense prime contractors, commercial customers, and international customers.
- Develop negotiation strategies, alternative language, and fallback positions that balance contractual protection, customer requirements, schedule, and business objectives.
- Identify significant contractual risks and determine when matters can be resolved within established authority or require escalation to business leadership, AMETEK Legal, or other approval authorities.
- Review RFQs, RFPs, solicitations, purchase orders, and awards to identify contractual requirements, assumptions, risks, inconsistencies, and required approvals.
- Ensure contracts accurately reflect negotiated scope, price, schedule, payment terms, acceptance criteria, warranty, intellectual property and data rights, limitation of liability, indemnification, termination rights, and change-control requirements.
- Manage contract amendments, modifications, changes, stop-work actions, claims, requests for equitable adjustment, terminations, and other post-award contractual matters.
- Maintain strong working knowledge of FAR, DFARS, commercial contracting practices, and applicable U.S. Government acquisition requirements.
- Analyze and implement contractual flowdowns and advise the business regarding commercial product and commercial service determinations, Truthful Cost or Pricing Data, Cost Accounting Standards, intellectual property, proprietary information, government property, cybersecurity, and other applicable requirements.
- Support assertions of commerciality, customer requests for price-reasonableness information, representations and certifications, and other government-contracting submissions.
- Apply NSI-MI and AMETEK contract review and approval requirements and prepare concise leadership approval packages for material contractual deviations.
- Maintain and use customer-specific agreements, approved deviations, and negotiated precedents to improve consistency and reduce negotiation cycle time.
- Support development and maintenance of NSI-MI standard Terms and Conditions of Sale and Purchase, contract templates, policies, and contracting procedures.
- Provide guidance, priorities, coaching, and functional leadership to contracts personnel and ensure appropriate workload coverage and cross-training.
- Partner with Sales, Program Management, Finance, Procurement, Operations, and Engineering to identify and resolve contractual issues throughout the business lifecycle.
- Coordinate with the Facility Security Officer/Export Compliance Manager on contracts involving export-controlled information, international trade requirements, classified programs, or security obligations.
- Support continuous improvement and automation of contract administration, approval, and tracking processes.
Minimum Qualifications:
- Bachelor’s degree in Business Administration, Finance, Contract Management, Legal Studies, or a related field.
- Minimum 8 to 10 years of progressively responsible contracts and/or subcontract management experience.
- Demonstrated experience negotiating complex agreements with U.S. Government customers, defense prime contractors, or similarly regulated customers.
- Strong working knowledge of FAR, DFARS, and commercial contracting practices.
- Experience negotiating contractual provisions including limitation of liability, indemnification, intellectual property and data rights, warranty, termination, payment, changes, audit rights, and flow downs.
- Experience with firm-fixed-price contracts and complex engineered products, systems, or services.
- Demonstrated ability to draft, analyze, interpret, and negotiate complex contractual language.
- Demonstrated ability to develop practical and commercially reasonable solutions to contractual issues while maintaining appropriate risk controls.
- Strong written and verbal communication skills, including the ability to translate complex contractual issues into concise recommendations for senior leadership.
- Strong organizational skills with the ability to manage multiple negotiations, customers, and priorities simultaneously.
- Sound independent judgment, high professional standards, and strong attention to detail.
- Must be legally authorized to access export-controlled information and technology required for the position.
- Occasional domestic and international travel may be required.
Desired Qualifications:
- Master's degree, MBA, JD, or other relevant advanced degree.
- CPCM, CFCM, CCCM, DAWIA/DAU, or equivalent professional contracting certification.
- Experience in aerospace, defense, space, RF/microwave, electronics, or other complex engineered-systems businesses.
- Experience negotiating with major U.S. defense prime contractors and international customers.
- Experience leading or developing contracts professionals.
- Familiarity with Costpoint, ARIBA, EXOSTAR, JOSCAR, or similar ERP and customer contracting platforms.
