About this role
What you'll do
- Build the function from the ground up. Stand up Mythic’s equity administration program end to end: policies, procedures, grant and vesting calendars, controls, and documentation. You will be the single point of contact for everything equity across the company.
- Lead our equity administration platform implementation. Own the implementation from planning through cutover, including vendor management, data mapping and migration, plan and award configuration, integration with our HR and finance systems (e.g., Rippling and NetSuite), testing, and parallel reconciliation, so the system of record is clean and reconciled from day one.
- Own the cap table and the system of record. Keep the cap table, legal records, equity platform, and (when applicable) transfer agent records reconciled at all times, especially around financings and other capital markets events.
- Administer the full award lifecycle across stock options, RSUs, PSUs, and future programs such as an ESPP: grants, vesting, exercises, settlements, cancellations, forfeitures, terminations, and post-termination exercise windows.
- Clean up historical equity data. Validate historical grants against board approvals and award documentation, resolve duplicate participant records, confirm termination dates, and close documentation gaps before they become audit or diligence findings.
- Get ahead of transaction and liquidity events. Identify awards with event-contingent vesting (single- vs. double-trigger), model award treatment and conversions, and plan mass settlement and tax withholding well in advance.
- Partner with Finance on stock-based compensation under ASC 718: deliver accurate, timely data for quarterly close, expense reporting, and external audit, and design equity controls that will stand up to SOX.
- Partner with Payroll and People on tax withholding, income reporting (including Forms 3921/3922 where applicable), new-hire and promotion grant processes, and termination workflows.
- Run the equity approval process with the Board and Compensation Committee, including grant calendars, approval materials, consents, and recordkeeping.
- Build public-company equity compliance in partnership with Legal: insider trading policy administration, trading windows and pre-clearance, Section 16 reporting (Forms 3, 4 and 5), Rule 144 and 10b5-1 plan support, and equity-related disclosure inputs.
- Make equity understandable for employees. Lead onboarding, FAQs, education sessions, and communications on any changes to award terms or programs.
- Be the go-to resource for auditors, outside counsel, and diligence requests on all equity matters.
- Wear other hats. Support broader corporate governance and legal readiness initiatives under the Chief Legal Officer as the company scales.
What you'll bring
- 8+ years of stock plan administration or equity compensation experience, including ownership of an equity function. Experience as a company’s first or senior-most equity professional is strongly preferred.
- Experience leading equity administration platform implementation and working cross-functionally with Finance, People, Payroll, and Legal to integrate the platform accordingly
- Thorough command of options (ISO/NSO), RSUs, PSUs, and ESPPs; cap table mechanics; equity tax treatment and withholding; and ASC 718.
- Working knowledge of Section 16, Rule 144, and insider trading compliance.
- Experience working directly with a Board and Compensation Committee, outside counsel, and external auditors.
- A builder’s mindset: comfortable as a team of one, highly organized, exacting about accuracy, and able to explain complex equity topics clearly to employees and executives alike.
- Certified Equity Professional (CEP) designation preferred.
When determining compensation, a number of factors will be considered, including skills, experience, job scope, location, and competitive compensation market data.
