About this role

Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for an Interim Corporate Governance Paralegal or Attorney at an Insurance Company.
Overview :  Major, Lindsey & Africa is seeking an In-House Corporate Governance Paralegal or Attorney.
Company: An Insurance and Reinsurance Company
Experience:   At least 5-10+ Years of Experience in Corporate Governance as a Paralegal or Attorney at an Insurance Company or other regulated industry.
Location:    (Remote – Needs to work EST).  Ideal candidates can go to Westchester, NY or NY, NY office from time to time.
Responsibilities Include:

Draft Board/Committee agendas, meeting minutes, resolutions, unanimous written consents and other approval documents, certificates or communications related to Board and Committee meetings or actions.
Timely and accurate updates to legal entity data in centralized digital platform (KUBE) and other shared networks, including data related to Board/ Committee composition, director biographies, Board/Committee structures and charters, officer appointments, registered office information, legal entity organizational charts, director compensation and Board-related guidelines and policies.
Ensure timely and accurate organization of Board/Committee materials on digital platform (BoardVantage).
Complete requests to the Corporate Secretary team for legal entity information, including “Know Your Customer,” Auditor, Officer Certificates and Notary/Apostille requests.
Circulation of requests for approvals via DocuSign.
Support integration activities as requested.

Qualifications:

Bachelor’s degree required. For junior attorneys, JD required.
At least 8 years of Corporate Secretary/Corporate Governance experience.
Demonstrated experience supporting Boards and Board Committees, preferably within a complex, global, financial services or insurance organization. 
Strong attention to detail and ability to work independently and as part of a team. 
Adaptability and flexibility.
Strong organizational and record management skills.
Strong written and oral communication skills.
Demonstrated proficiency with legal entity management and Board portal software.
Experience in the Insurance Industry is a Plus.
